USAGE EXTENSION AGREEMENT

This Usage Extension Agreement ("Agreement") is entered into as of Effective Date: by and between Owner Name: (Owner), and User Name: (User). Owner and User are referred to herein collectively as the Parties and individually as a Party.

WHEREAS

WHEREAS, the Parties entered into an original agreement governing use of the asset or property described as on (the "Original Agreement");

WHEREAS, the Parties wish to extend the period of permitted use under the Original Agreement on the terms and conditions set forth in this Agreement; and

WHEREAS, this Agreement modifies and extends certain provisions of the Original Agreement solely to the extent expressly provided herein, and all other terms of the Original Agreement remain in full force except as amended by this Agreement.

SCOPE OF WORK

The User is authorized to continue use of the described asset or property subject to the limitations below. The Parties shall perform and comply with the responsibilities described in the Scope of Work.

PAYMENT TERMS

As consideration for the Extension and continued use, User shall pay to Owner an Extension Fee and any applicable charges as set forth below.

Late payments shall accrue interest at the rate of on overdue amounts, calculated from the date payment was due until paid in full. User shall also be responsible for reasonable costs of collection, including legal fees.

TERM AND TERMINATION

The Extension shall commence on Start Date: and shall expire on End Date: unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon providing days' prior written notice to the other Party. Termination for material breach shall be effective upon written notice if the breaching Party fails to cure the breach within days following receipt of notice of breach.

CONFIDENTIALITY

Each Party shall keep confidential any non-public information disclosed by the other Party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is lawfully in the public domain or independently developed without reference to the disclosing Party's Confidential Information.

The obligations in this section shall remain in effect for a period of years following termination or expiration of this Agreement, unless a longer period is required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The Parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with the Original Agreement as amended herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment shall be effective unless in a writing signed by both Parties.

MISCELLANEOUS

Assignment: Neither Party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other Party, except that Owner may assign to an affiliate or successor in interest.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
