Recitals

WHEREAS, Provider owns, operates, or controls the equipment, premises, facilities or software described as: (the "Property"); and

WHEREAS, User desires to use the Property for lawful purposes and acknowledges that such use may involve risk of injury or damage; and

NOW, THEREFORE, in consideration of access to and use of the Property and other good and valuable consideration, the parties agree as follows:

User acknowledges that use of the Property involves known and unknown risks, including bodily injury, death, property loss and other damages. User voluntarily assumes all such risks and hereby releases, waives, discharges and covenants not to sue Provider, its officers, employees, agents and affiliates (collectively, "Released Parties") for any and all liability, claims, demands, actions or causes of action arising out of or relating to User’s use of the Property, whether caused by the negligence of the Released Parties or otherwise.

User further agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from User’s negligent acts or omissions, breach of this Agreement, or willful misconduct in connection with use of the Property.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Provider may immediately terminate access in the event User's conduct poses an imminent risk of harm to persons or property.

Confidentiality

The parties acknowledge that during performance of this Agreement they may receive confidential information. Each party shall hold in confidence and not disclose such information to third parties except as required by law or to perform obligations under this Agreement. Confidential information does not include information that is publicly available without breach or lawfully received from a third party.

User hereby grants Provider the right to photograph or record User while on the Property and to use such images or recordings for promotional purposes unless User indicates refusal by checking the box below.

Representations and Warranties

Each party represents that it has the authority to enter this Agreement and that its performance will not violate other agreements. User represents that User is physically and mentally able to use the Property and will comply with all reasonable rules established by Provider.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties agree that any disputes arising under this Agreement shall be resolved by binding arbitration unless otherwise agreed in writing.

Entire Agreement; Severability

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior negotiations and agreements. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
