INSPECTION, TRIAL, AND ACCEPTANCE

Buyer shall have days from the date of execution to inspect the vessel, perform sea trials, and obtain mechanical surveys. If Buyer discovers material defects, Buyer shall provide written notice to Seller within the inspection period.

CONDITION OF VESSEL / WARRANTY

Unless otherwise expressly set forth in writing in this Agreement, the vessel is sold on an "AS IS, WHERE IS" basis, with all faults and without any express or implied warranties, including merchantability and fitness for a particular purpose. Any limited warranty provided by Seller must be set forth in this Agreement.

RISK OF LOSS; INSURANCE

Risk of loss or damage to the vessel shall pass from Seller to Buyer upon delivery of the vessel and transfer of possession, unless otherwise agreed in writing. Seller shall maintain insurance until possession is transferred. Buyer is responsible for insuring the vessel from the time of possession.

CLOSING OBLIGATIONS

At closing Seller will deliver a properly executed bill of sale, transfer of registration, all keys and vessel documents, and any spare parts or accessories specified in writing. Buyer will pay the balance of the purchase price and will pay all taxes, registration fees, and transfer fees unless otherwise agreed.

DEFAULT AND REMEDIES

If Buyer fails to timely pay amounts due, Seller may retain deposits as liquidated damages or pursue specific performance or other remedies available at law or in equity. If Seller fails to convey title or breaches a material representation, Buyer may seek rescission, damages, or specific performance.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state of the vessel's primary registration or as otherwise agreed in writing. This Agreement constitutes the entire agreement between the parties with respect to the sale of the vessel and supersedes all prior agreements and understandings, whether written or oral.
