WHEREAS, Registrant has created a user interface, including visual design, interaction patterns, and supporting assets (the "User Interface") and seeks formal registration and acceptance of such User Interface by Company; and

WHEREAS, Company wishes to record the User Interface details, define the scope of work for any development or delivery, and set commercial and confidentiality terms applicable to the registration; and

NOW, THEREFORE, in consideration of the mutual promises set forth herein, the Parties agree as follows.

Scope of Work

The Parties acknowledge and agree that the scope of any development, delivery, or acceptance obligations related to the registered User Interface shall be as set forth below. Registrant shall provide deliverables and Company shall accept according to the milestones and specifications recorded in this section.

Payment Terms

Company agrees to pay Registrant the fees described below in consideration for registration, any agreed development, and delivery of the User Interface assets.

Term and Termination

This Agreement commences on the Start Date below and continues until the End Date below unless earlier terminated pursuant to this section.

Either Party may terminate this Agreement for material breach if the breaching Party fails to cure within the Notice Period above. Termination does not relieve Company of obligation to pay for delivered work accepted prior to termination.

Confidentiality

Each Party shall treat as confidential all non-public information disclosed by the other Party in connection with this registration and the Scope of Work, including design files, prototypes, specifications, business terms, and user data. Confidential information shall not be disclosed to third parties except to employees, contractors, or advisors who have a need to know and who are bound to maintain confidentiality at least as restrictive as this Agreement.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets which shall remain protected for as long as they retain trade-secret status under applicable law.

Ownership and Representations

Registrant represents and warrants that Registrant is the sole owner of the rights in the User Interface or has obtained all necessary rights, licenses, and consents to register, deliver, and license the User Interface as contemplated by this Agreement; that the User Interface does not infringe third-party intellectual property rights; and that no third-party agreements restrict Registrant's ability to grant the rights described herein.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws selected by the Parties. Governing Law Jurisdiction:
