USER LICENSE AGREEMENT ADDENDUM

This Addendum to the User License Agreement (the "Addendum") is entered into as of Effective Date: by and between Licensor Name: ("Licensor") and Licensee Name: ("Licensee").

RECITALS

WHEREAS, Licensor and Licensee previously entered into a User License Agreement titled dated (the "Agreement");

WHEREAS, the parties wish to modify certain provisions of the Agreement as set forth in this Addendum to address additional licensing terms, operational requirements, and allocation of responsibilities between the parties; and

WHEREAS, the parties intend that this Addendum be incorporated into and form a part of the Agreement to the extent provided in this Addendum.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Addendum have the meanings given to them in the Agreement. For purposes of this Addendum, "Addendum Effective Date" means the Effective Date set forth above and "Modified Terms" means the provisions amended by this Addendum.

2. MODIFICATIONS

The Agreement is hereby amended as set forth below. Except as expressly modified by this Addendum, all terms, conditions, representations and warranties of the Agreement shall remain in full force and effect.

The Licensor hereby reaffirms any sublicensing, territory, user-limit and permitted-use provisions expressly modified by this Addendum. All expressions of scope in this Addendum shall control in the event of any conflict with the Agreement.

4. TERM; TERMINATION

Unless otherwise specified in an Amended Provision above, the term of the Agreement shall remain unchanged. Any termination rights arising under the Agreement that are affected by this Addendum are modified only to the extent expressly set forth herein. Termination of the Agreement shall terminate this Addendum concurrently.

5. FEES AND PAYMENT

If the parties agree to any additional fees in connection with this Addendum, such amounts and payment terms shall be set forth below. Absent express written agreement, neither party shall be obligated to make additional payments.

6. INTELLECTUAL PROPERTY

Except as expressly provided in an Amended Provision, nothing in this Addendum shall transfer ownership of any intellectual property rights. Licensor retains all right, title and interest in and to its Pre-Existing Materials and any modifications thereto, and Licensee retains ownership of its Confidential Information and data as set forth in the Agreement.

7. CONFIDENTIALITY

All confidential information exchanged in connection with this Addendum shall be treated in accordance with the confidentiality provisions of the Agreement. The parties agree that the disclosure and use restrictions shall apply with the same force and effect to information disclosed under this Addendum.

8. WARRANTIES; DISCLAIMERS

Each party represents and warrants that it has full authority to enter into this Addendum. Except as expressly modified herein, all other warranties and disclaimers set forth in the Agreement remain in full force and effect. No additional warranties are created by implication.

9. LIMITATION OF LIABILITY

The limitations of liability and exclusions set forth in the Agreement shall apply to liabilities arising under this Addendum, subject to any specific modifications set forth in an Amended Provision. Neither party shall be liable for consequential damages except as expressly provided herein.

10. INDEMNIFICATION

The indemnification obligations set forth in the Agreement shall extend to claims arising from the Modified Terms to the extent caused by a party's breach of this Addendum. Procedures for notice and defense of claims shall follow the Agreement's procedures unless otherwise provided herein.

11. NOTICES

All notices required or permitted under this Addendum shall be given in accordance with the notice provisions of the Agreement. For convenience, the parties list the current primary contacts below and agree to update notice details pursuant to the Agreement.

12. GOVERNING LAW

This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or understandings relating to the Modified Terms.

14. SEVERABILITY

If any provision of this Addendum is held to be invalid or unenforceable, the remainder of this Addendum shall remain in full force and effect and shall be interpreted so as to best effectuate the parties' intent.

15. AMENDMENTS; WAIVER

No modification, amendment, or waiver of any provision of this Addendum will be effective unless in writing and signed by authorized representatives of both parties. No failure or delay in exercising any right shall operate as a waiver.

16. COUNTERPARTS; ELECTRONIC SIGNATURES
