USER LOG-IN FORM & SERVICE AGREEMENT

This User Log-In Form & Service Agreement (the Agreement) documents the terms under which access credentials are issued and access services are provided. Client Name: Service Provider Name:

WHEREAS

WHEREAS, the Service Provider operates and maintains electronic systems, applications, and online services (the Services) that require authenticated user access; and

WHEREAS, the Client requires an account and unique log-in credentials to access the Services for the purposes set forth in the Scope of Work; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

SCOPE OF WORK

The Service Provider will issue a unique username and password and provide authentication mechanisms, account management, and reasonable technical support for the Client's access to the Services. Client access is limited to the purposes specifically described in the Description of Services and must not exceed authorized scope.

USER LOG-IN DETAILS

The Client acknowledges responsibility for safeguarding log-in credentials and agrees not to share credentials with unauthorized persons. The Client must notify the Service Provider immediately upon any suspected credential compromise.

PAYMENT TERMS

All fees are due in accordance with the Payment Schedule. Overdue amounts accrue the Late Fee until paid. The Provider may suspend access if payment is delinquent greater than the notice period specified in Termination.

Either party may terminate this Agreement for material breach if the breach is not cured within the notice period specified above. Upon termination, the Client must cease use of all credentials and, upon Provider request, confirm in writing that credentials have been destroyed.

CONFIDENTIALITY

Each party will treat as Confidential Information all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that is or becomes publicly available without breach, independently developed, or rightfully received from a third party.

The receiving party will not disclose Confidential Information except as necessary for performance under this Agreement and will employ reasonable safeguards to protect such information. Confidential Information must be returned or destroyed upon termination, subject to any retention required by law.

GOVERNING LAW

This Agreement is governed by the laws of: , without regard to conflict of law principles. Exclusive venue for disputes shall be in courts located within the chosen jurisdiction unless otherwise mutually agreed in writing.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibited Schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral. Any amendment must be in writing and executed by authorized representatives of both parties.

The Client acknowledges that use of shared or insecure credentials increases security risk. The Client agrees to comply with Provider's access policies and procedures as provided at the time of account issuance. The Provider may audit account activity and suspend access where misuse or policy violations are detected.
