Scope of Work

Provider shall deliver and grant access to the services, features, and integrations described below. Registrant acknowledges that access is provided only under the terms of this Agreement and any attachments incorporated herein.

Payment Terms

Registrant shall pay Provider the fees set forth below in consideration for access and services. Fees are non-refundable except as expressly provided in this Agreement.

Payment is due within days of invoice date. Outstanding balances shall incur a late fee of percent per month, or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Provider may suspend access immediately upon Registrant's failure to pay amounts when due, or for material breach that is not cured within ten (10) days after written notice.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party that is identified as confidential or that, by its nature, ought reasonably to be treated as confidential. Confidential information shall not include information that is or becomes publicly available other than by breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other party's confidential information. The receiving party shall use at least reasonable care to protect the disclosing party's confidential information and shall use such information only to exercise rights and perform obligations under this Agreement.

Representations; Warranties; Liability

Each party represents and warrants that it has the authority to enter into this Agreement. Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE AMOUNTS PAID BY REGISTRANT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts of that State.

Entire Agreement

This Agreement, including any attachments and written schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals or communications, oral or written. No amendment shall be binding unless in writing and signed by authorized representatives of both parties.

By submitting this Application and signing below, Registrant certifies that the information provided in this Application is true and complete to the best of Registrant's knowledge, that Registrant has the authority to bind the entity (if applicable), and that Registrant consents to the terms and conditions set forth in this Agreement.
