USER REGISTRATION AND ACCOUNT AGREEMENT

WHEREAS, User seeks to register for an account and receive access to the services, systems, and resources provided by Company (the "Services") under the terms and conditions set forth herein; and

WHEREAS, Company agrees to permit account registration and to provide the Services to User in consideration of User's compliance with this Agreement, payment obligations where applicable, and the confidentiality and security obligations set forth below; and

WHEREAS, the parties desire to document the registration, account governance, and the commercial terms associated with the Services in a single binding agreement effective as of the Effective Date set forth below.

Scope of Work

Company shall provide User with access to the Services described herein and in any associated onboarding documentation. Services may include account provisioning, administrative tools, technical support, and access to software features designated for the User's account tier. User shall use the Services solely in accordance with this Agreement, any acceptable use policies provided by Company, and applicable law.

Payment Terms

User shall pay Company for any paid Services in accordance with the amounts and schedules set forth below. Invoices are due when rendered, and unpaid amounts shall accrue interest as set forth below. All monetary amounts are stated in US Dollars unless otherwise specified.

Term and Termination

This Agreement shall commence on the Term Start date below and shall continue until the Term End date, unless earlier terminated in accordance with this section. Either party may terminate for convenience upon providing the other party the Notice Period specified below. Termination for cause may occur immediately where a material breach remains uncured following written notice and the cure period specified herein.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party shall protect Confidential Information of the other party with at least the same degree of care it uses to protect its own similar information, not less than a reasonable standard of care, and shall not use or disclose Confidential Information except as necessary to perform its obligations under this Agreement or as required by law. Confidential Information shall not include information that is or becomes generally available to the public through no breach by the receiving party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes unless the parties agree in writing otherwise.

Entire Agreement; Miscellaneous

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment or waiver shall be effective unless made in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

User acknowledges receipt of, and agrees to be bound by, the terms of this Agreement and any usage policies communicated to User. User grants Company permission to process payments (if applicable) and to contact User for account administration.
