UTILITY SERVICE PLAN

RECITALS

WHEREAS, Service Provider is engaged in the business of providing utility services, including but not limited to electricity, water, gas and sewer services, and possesses the necessary expertise, equipment and regulatory authorizations to perform such services; and

WHEREAS, Customer desires to obtain utility services at the Premises identified in this Utility Service Plan under the terms and conditions set forth herein, and Service Provider is willing to provide such services pursuant to this Plan.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Service Provider shall supply and manage the following utility services to the Premises in a commercially reasonable manner and in compliance with applicable law and regulatory obligations. The scope includes metering where applicable, supply, scheduled maintenance, and emergency response as described below.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Plan ("Confidential Information"). Confidential Information shall not include information that is publicly available through no breach of this Agreement, rightfully received from a third party, or independently developed. Each party shall use Confidential Information solely to perform its obligations under this Plan and shall not disclose such information except to employees, agents or contractors with a need to know who are bound by confidentiality obligations no less protective than those set forth herein.

FORCE MAJEURE AND LIABILITY

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, labor disputes, governmental action, or other force majeure events. Service Provider's liability for direct damages arising from performance of services under this Plan is limited to amounts actually paid by Customer for the affected service during the three (3) months preceding the event giving rise to the claim. In no event shall Service Provider be liable for indirect, incidental, punitive or consequential damages.

GOVERNING LAW

This Plan shall be governed by and construed in accordance with the laws of the state of without regard to that jurisdiction's conflict of laws principles.

ENTIRE AGREEMENT

This Utility Service Plan, including all attachments and schedules executed by the parties, constitutes the entire agreement between Service Provider and Customer with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Plan shall be in writing and delivered to the addresses set forth in this Plan or such other address as a party designates in writing. Notices shall be deemed given when delivered in person, one business day after deposit with an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Plan without the prior written consent of the other, except that Service Provider may assign this Plan to an affiliate or successor in connection with a merger or sale of substantially all of its assets.

Severability: If any provision of this Plan is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
