UTILITY SERVICES AGREEMENT

Parties and Effective Date

This Utility Services Agreement ("Agreement") is made effective as of by and between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing utility-related services, including but not limited to supply, installation, maintenance and billing of utility systems; and

WHEREAS, Client desires to obtain such utility services for the Service Location described below and Service Provider is willing to provide those services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider shall provide utility services to Client at the Service Location and in accordance with the terms of this Agreement. Services shall include supply, installation (if applicable), ongoing operation and routine maintenance, and billing as described below. Any services not expressly included must be agreed in writing.







Payment Terms

Client shall pay Service Provider for the services described in this Agreement in accordance with the following terms and schedule.

Any amount not paid when due shall accrue a late fee of per month on the outstanding balance, or the maximum permitted by applicable law, whichever is less. Service Provider may suspend services for unpaid invoices thirty (30) days after written notice of delinquency.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if such breach remains uncured for thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed or costs incurred prior to termination.

Confidentiality

Each party acknowledges that in the course of performing under this Agreement it may receive confidential information of the other party ("Confidential Information"). Confidential Information shall include billing data, technical specifications, service protocols, customer account information, and pricing. Each party agrees to (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required to perform obligations under this Agreement or as required by law; and (c) use Confidential Information only for purposes of this Agreement. The obligations in this section shall not apply to information that is (i) publicly available through no fault of the receiving party, (ii) rightfully received from a third party without restriction, or (iii) independently developed by the receiving party.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between executives. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in the chosen jurisdiction, unless otherwise agreed in writing.

Representation and Insurance

Each party represents that it has the right and authority to enter into this Agreement. Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services provided, including general liability and workers' compensation where applicable. Certificates of insurance shall be provided upon Client's request.

Entire Agreement; Amendments

This Agreement, together with any written attachments or schedules executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail, or other nationally recognized courier service.

Additional Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that remedies at law may be inadequate to protect against actual or threatened breaches of confidentiality and that equitable relief may be sought in addition to any other remedies.
