UTILITY SINK USAGE AGREEMENT

This Utility Sink Usage Agreement (Agreement) is entered into on by and between Facility Owner: with contact: , and User: with contact: .

WHEREAS

WHEREAS, Facility Owner operates a utility sink located at (Sink), and maintains the premises and equipment used for sink operations; and

WHEREAS, User requires intermittent access to the Sink for cleaning, rinsing, or similar non-hazardous activities as described in the Scope of Work, and agrees to comply with all use conditions, safety requirements, and payment obligations set forth herein.

WHEREAS, the parties desire to set forth their rights and obligations with respect to such access in this written Agreement.

SCOPE OF WORK

User shall use the Sink only for the purposes expressly authorized in the Scope of Work. Use for disposal of hazardous substances, flammable liquids, regulated wastes, or materials requiring special handling is strictly prohibited. User is responsible for ensuring that all persons under its control comply with this Agreement.

PAYMENT TERMS

All payments are non-refundable. Invoices unpaid after five (5) business days past the due date are subject to the Late Fee set forth above and to suspension of sink access until all amounts are paid in full. User shall be responsible for reasonable collection costs and attorney fees if collection is required.

TERM AND TERMINATION

Upon termination, User shall immediately cease use of the Sink, remove all personal property, and repair or reimburse Facility Owner for any damage resulting from User's activities. Termination does not relieve User of obligations accrued prior to termination.

CONFIDENTIALITY

Each party may receive non-public operational information from the other in connection with the use of the Sink. Each party shall treat such information as confidential and shall not disclose it to third parties except as required by law or with the disclosing party's prior written consent. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that was independently developed by the receiving party without use of the other party's confidential information.

INSURANCE, SAFETY, AND COMPLIANCE

User shall at its own expense maintain adequate liability insurance covering its operations in connection with the Sink and shall provide evidence of such insurance to Facility Owner upon request. User shall comply with all applicable laws, ordinances, and regulations governing use of the Sink and shall follow any written safety rules provided by Facility Owner.

I acknowledge that disposal of hazardous substances is prohibited: User acknowledges and will not dispose of hazardous or regulated waste in the Sink.

INDEMNIFICATION

User shall indemnify, defend and hold harmless Facility Owner and its affiliates, officers, agents and employees from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorney fees) arising out of or related to User's use of the Sink, breach of this Agreement, or the negligence or willful misconduct of User or its agents.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any written attachments and schedules signed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment to this Agreement is binding unless in writing and signed by both parties.

NOTICES

Notices shall be in writing and deemed given when delivered personally, sent by certified mail, return receipt requested, or delivered by nationally recognized overnight courier to the notice addresses set forth above or as subsequently designated in writing.
