VACANT LOT LISTING AGREEMENT

This Vacant Lot Listing Agreement (the "Agreement") is entered into by and between the parties identified below for the purpose of securing a buyer for the real property described herein. Owner hereby engages Broker, and Broker accepts such engagement, upon the terms and conditions set forth in this Agreement.

Representations and Warranties

Owner represents that Owner is the lawful owner of the Property, has authority to enter into this Agreement, and that, except as disclosed in writing to Broker herein, there are no known encumbrances, liens, leases, easements, or restrictions materially affecting the marketability of the Property. Owner shall deliver copies of any material instruments or reports affecting title or condition upon Broker's request.

Broker Authority; Dual Agency; Cooperating Brokers

Broker is authorized to advertise, negotiate offers, and to cooperate with other brokers. Broker's authority to accept offers on Owner's behalf is limited to presenting offers to Owner unless Owner provides written limited authority. Broker may represent both Owner and a prospective buyer if permitted by law and only with Owner's prior written consent.

Closing; Possession; Costs

Closing shall occur at a mutually agreed title/escrow company. Owner shall convey marketable title free of encumbrances except as previously disclosed. Closing costs allocation shall be as set forth in the purchase contract; unless otherwise agreed in writing, Owner will pay customary seller closing costs and Broker's commission as set forth above.

Default; Remedies

If Owner breaches this Agreement and consummates a sale to a buyer procured by Broker during the Listing Period or Protection Period, Owner shall be liable for the commission specified herein. If Broker breaches material duties, Owner may terminate the Agreement and seek equitable relief and damages as provided by law. The parties' remedies are cumulative unless otherwise stated.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties relating to the listing of the Property and supersedes all prior agreements and understandings. Any amendment or modification shall be in writing and signed by both parties.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above. Time is of the essence with respect to any dates set forth in this Agreement. If any provision is held invalid, the remainder shall continue in full force and effect.
