What the Vacant Property Listing Agreement Is and When It Applies

A Vacant Property Listing Agreement is a written contract between a property owner and a real estate broker that authorizes marketing and sale of an unoccupied residential or commercial property. It defines the broker s duties, the listing price or pricing strategy, the commission structure, the listing term, and the owner s representations about the property. Because the property is vacant, the agreement commonly addresses access procedures, security measures, maintenance responsibilities, utilities, and risk allocation for damage or vandalism during the listing period. The document clarifies liability and sets expectations for both parties during marketing and showings.

Why a Formal Vacant Property Listing Agreement Matters

A clear written agreement limits disputes, documents authority to market and accept offers, and allocates maintenance and security responsibilities for an empty property. It protects the owner and broker by recording consent, pricing, term length, and commission terms in a single enforceable record.

Why a Formal Vacant Property Listing Agreement Matters

Who Typically Prepares and Signs This Agreement

Sellers, licensed brokers, and property managers commonly use this agreement to formalize listing terms for vacant properties before marketing begins.

  • Property owners and investors who hold unoccupied homes, condos, or commercial units and need formal marketing authority.
  • Real estate brokers and listing agents who require written authorization, commission terms, marketing permissions, and access protocols.
  • Property managers or asset managers coordinating maintenance, showings, security, and vendor access while the property is vacant.

The agreement helps agents meet brokerage compliance, gives owners documented authority and instructions, and supports third-party service coordination such as caretakers or contractors.

Core Clauses to Include in a Professional Listing Agreement

A comprehensive agreement combines authority, compensation, timelines, representations, property access rules, and termination mechanics so both parties understand duties and remedies.

Exclusive vs Non‑Exclusive

Specify whether the broker has exclusive right to sell or a non‑exclusive listing; this determines owner s ability to procure buyers without paying commission and avoids future disputes.

Commission Structure

State commission percentage, split with buyer s broker, and when commission is earned (e.g., at closing or upon ratified contract). Include provisions for cooperative broker compensation and holdover periods.

Listing Term and Extension

List the start and end dates, renewal options, and procedures for early termination or extension; clarify notice requirements and obligations during any holdover period.

Access and Security

Describe showing protocols, lockbox or keyholder arrangements, alarm system instructions, and site visits for contractors; include required notice for entry and liability allocation for damage.

Owner Representations

Require owner disclosures about title, liens, zoning, hazards, utilities status, and any existing leases or encumbrances that affect marketability.

Maintenance & Utilities

Allocate responsibility for lawn care, winterization, utilities, and emergency repairs while vacant; specify who arranges vendors and how costs are reimbursed.

Essential Data Elements to Collect

Owner Name: Full legal name
Property Address: Street, city, state, ZIP
Parcel ID: Assessor parcel number
Listing Term: Start and end dates
Commission Rate: Percent or flat fee

Stepwise Process to Complete and Activate the Listing

Follow these steps to prepare, execute, and put the vacant property listing into active marketing while documenting access and risk controls.

  • 01
Prepare Documents: Gather title, tax ID, and disclosure info.
  • 02
Agree Terms: Negotiate price, commission, and term.

How to Configure an Online Listing Workflow

Set up a digital workflow that captures signatures, access permissions, and automated notices for vacant property tasks.

Field Configuration
Signature Field Require signer name, date, and role
Access Instructions Conditional field shown when property marked vacant
Security Acknowledgment Checkbox for alarm/lockbox acceptance
Document Storage Auto-save signed PDF with audit trail

Where to Send Signed Agreements and Who Receives Copies

Signed agreements should be routed to the broker, owner, and any designated property manager or escrow agent, with a retained audit trail for compliance and recordkeeping.

  • Broker Copy: Retain in brokerage files
  • Owner Copy: Provide signed PDF to owner
  • Property Manager: Send access & maintenance instructions
  • Escrow/Title: Forward when an offer is ratified

Digital Signing and Delivery Considerations

Use an eSignature workflow that supports secure signing, audit trails, and easy distribution to relevant parties without changing the legal effect of the document.

  • Authentication: Email, SMS, or stronger KBA
  • Audit Trail: IP, timestamp, action log
  • Integrations: Salesforce | MLS | Google Workspace

Common Timing and Deadlines to Track

Track listing start, expiration, and any holdover or automatic extension dates; align marketing actions and vendor contracts to these timelines.

Listing Start:

Effective date (MM/DD/YYYY)

Listing Expiration:

End date for listing authority

Offer Response:

Seller response window in days

Holdover Period:

Time after expiration for commission claims

Maintenance Schedule:

Vendor check-ins and winterization dates

Common Mistakes When Preparing a Vacant Property Listing Agreement

  • Failing to document access instructions leads to missed showings and security breaches that can increase liability and repair costs.
  • Using vague commission or holdover language creates disputes when a buyer surfaces after listing expiration and can trigger litigation.
  • Not disclosing liens or encumbrances delays closing and may invalidate offers if title defects are discovered during escrow.
  • Neglecting maintenance responsibilities increases damage risk and may shift repair costs to the listing broker or owner under state law.

Potential Legal and Financial Risks

Enforceability: Invalid signature risk
Commission Dispute: Litigation or arbitration
Title Delay: Closing postponement
Regulatory Fine: License penalties possible
Damage Liability: Owner or broker exposure
Data Risk: Privacy or breach costs
