WHEREAS, Client Name: seeks to establish an objective, repeatable plan to validate systems, processes, or deliverables described herein; and

WHEREAS, Contractor Name: has the requisite expertise and agrees to perform validation activities in accordance with the terms of this Validation Plan Template; and

WHEREAS the parties intend that the validation activities and associated deliverables provide objective evidence that the subject system or process meets the agreed acceptance criteria and regulatory or contractual requirements.

OBJECTIVE

The objective of this Validation Plan is to define scope, acceptance criteria, responsibilities, test strategy, deliverables, and schedule necessary to validate the following item(s):

SCOPE OF WORK

The Contractor shall perform validation activities described below and provide documented evidence in accordance with the acceptance criteria and deliverables set forth. Activities include planning, test design, test execution, defect tracking, reporting, and final validation report.

ACCEPTANCE CRITERIA

Acceptance of validation activities requires that all defined test cases execute successfully or that any deviations are documented, risk-assessed and accepted in writing by Client Name. Acceptance criteria must be objective, measurable, and traceable to requirements.

VALIDATION ACTIVITIES & TEST STRATEGY

The validation approach will include risk-based selection of test cases, environment qualification, data requirements, test execution steps, defect logging, retest criteria, and final reporting. Test artifacts will be version-controlled and retained per agreement.

TEST ENVIRONMENT & DATA

VALIDATION DELIVERABLES

Deliverables will be submitted in electronic form unless otherwise agreed. Deliverables include, at minimum, this Validation Plan, test plans, test cases, executed test records, defect logs, traceability documentation, and a Final Validation Report certifying results against acceptance criteria.

PAYMENT TERMS

The Client shall pay the Contractor for services performed under this Validation Plan in accordance with the terms below. Payments are subject to acceptance of deliverables as set forth in this document.

TERM AND TERMINATION

This Validation Plan shall commence on the Planned Start Date and remain in effect until the Planned Completion Date unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination for convenience by Client requires payment for work performed to the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all proprietary or confidential information disclosed by the other party and shall use such information only for the performance and enforcement of this Validation Plan. Confidential information does not include information that is or becomes publicly available through no breach by the receiving party, or which is independently developed by the receiving party without access to confidential information.

On termination or expiration of this Validation Plan, the receiving party shall promptly return or destroy confidential materials as directed by the disclosing party and shall certify in writing that it has complied with this obligation upon reasonable request.

GOVERNING LAW

This Validation Plan shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Validation Plan, together with any attachments, exhibits, and referenced statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

The failure of either party to enforce any provision of this Validation Plan shall not constitute a waiver of such provision unless made in writing and signed by the waiving party. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
