Recitals

A. Supplier supplies goods and/or services to Client in the ordinary course of business and issues invoices that may be subject to value added tax (VAT).

B. The parties wish to set out their mutual obligations and the formal requirements for VAT invoices, documentation, delivery, and correction of invoices to ensure compliance with applicable tax rules and to allocate responsibility for VAT statements and payments.

Definitions

For purposes of this Agreement: "Invoice" means a document issued by Supplier evidencing the supply of goods or services to Client and containing the information required by applicable VAT law. "VAT" means value added tax or similar consumption tax imposed by the competent taxing authority.

Scope and Issuance of Invoices

1. Supplier shall issue an Invoice for each taxable supply to Client. Each Invoice must include, at a minimum, the Invoice Number, Invoice Date, Supplier name and address, Supplier VAT Registration Number, Client name and address, Client VAT Registration Number (where provided), a clear description of goods or services, quantity, unit price, VAT rate applied, VAT amount, total amount due, and payment terms.

2. The parties acknowledge that Invoice delivery may be electronic or paper. Supplier shall deliver an Invoice to the contact designated by Client within the delivery section below.

Payment is due in accordance with the Invoice payment terms. If no term is specified, payment is due within the number of days specified below from the Invoice Date. Late payments shall incur interest at the rate specified below, calculated daily from the due date until the date of actual payment.

VAT Treatment and Special Rules

Supplier shall charge VAT where applicable at the rate required by law and shall clearly state the VAT rate and VAT amount on each Invoice. Where the reverse charge or other special VAT mechanism applies, Supplier will indicate that mechanism on the Invoice and provide the statutory reference or explanatory note.

Client shall notify Supplier in writing prior to the supply if Client believes the supply is outside the scope of VAT, exempt, or subject to a specific local rule, and provide supporting documentation including any relevant VAT registration numbers. Failure to provide correct information shall not relieve Client of its obligations to pay VAT where required by law.

Corrections, Credit and Debit Notes

If an Invoice contains an error, the issuing party shall promptly issue a corrective invoice or a credit/debit note that meets statutory requirements. Corrective documents must clearly reference the original Invoice number and describe the reason for the correction.

Recordkeeping and Audit

Each party shall retain complete records and copies of Invoices, credit/debit notes, and supporting documentation for a period of years, or for such period as required by applicable law. Either party may request access to records reasonably necessary to verify compliance; such requests shall be provided within a commercially reasonable period.

Indemnity and Liability

Each party indemnifies the other from and against any losses, liabilities, costs, claims or fines arising from its failure to comply with VAT obligations, including incorrect VAT charges due to inaccurate information provided by the indemnifying party. Except for liability arising from fraud or willful misconduct, neither party's aggregate liability under this Agreement shall exceed the total invoiced amounts paid under this Agreement in the preceding 12 months.

Termination

Either party may terminate this Agreement on written notice if the other party materially breaches its obligations and fails to remedy such breach within days after receiving written notice. Termination does not affect rights or liabilities accrued prior to termination.
