SCOPE OF WORK

The Provider shall perform the following services in connection with the authorized vehicle change. Provider shall exercise reasonable care and in all respects comply with applicable law, registration requirements, and insurance obligations.

PAYMENT TERMS

Owner agrees to pay Provider for services rendered pursuant to this Agreement under the following terms.

TERM AND TERMINATION

This Agreement commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of breach.

CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information received from the other party in connection with this Agreement and shall use such Confidential Information solely for the purposes of performing its obligations hereunder. "Confidential Information" includes nonpublic business, technical or financial information, customer data, and personally identifiable information relating to the vehicle or its users. Confidentiality obligations survive termination for a period of three (3) years.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has full authority to enter into this Agreement. Owner represents that the information provided about the vehicle is true and accurate to the best of Owner's knowledge. Provider agrees to perform services in a professional manner and shall indemnify Owner against claims arising from Provider's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments, schedules, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
