VEHICLE DEPOSIT AGREEMENT

This Vehicle Deposit Agreement ("Agreement") is made between Depositor Name: and Holder Name: .

WHEREAS

WHEREAS, Depositor desires to reserve and secure a particular motor vehicle described below for potential purchase, lease or restoration, and has agreed to pay a deposit to Holder to hold the vehicle off the market during the reservation period; and

WHEREAS, Holder is willing to accept a deposit under the terms and conditions set forth in this Agreement, subject to the application of such deposit toward the transaction contemplated or forfeiture as provided herein.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the deposit and the vehicle during the reservation period.

Either party may terminate this Agreement upon written notice to the other party delivered at least days prior to the desired termination date. Upon termination, Holder shall return any refundable deposit in accordance with the refund provisions, less any sums properly due and owing to Holder for damages, storage, inspections, repairs or other agreed charges.

CONFIDENTIALITY

Each party agrees that all non-public information provided by one party to the other in connection with this Agreement, including pricing, proposed terms, vehicle condition reports and financial information, shall be kept confidential and shall not be disclosed to any third party except as required by law or as necessary to consummate the transaction. Confidential information shall remain the sole property of the disclosing party and shall be returned or destroyed upon request following termination.

INSPECTION, RISK AND TITLE

Depositor acknowledges the right to inspect the vehicle during reasonable hours prior to completion of the transaction. Except as otherwise agreed in writing, Holder makes no warranties regarding the vehicle. Risk of loss or damage while the vehicle is in Holder's possession shall be borne by Holder, provided that Depositor shall remain responsible for any agreed insurance or other obligations specified in this Agreement. Title transfer shall occur only upon full payment and execution of the required transfer documentation.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages arising out of this Agreement. Holder's maximum aggregate liability under this Agreement shall be limited to the amount of the deposit actually received from Depositor.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any written addenda or exhibits signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, understandings or representations. No amendment or waiver shall be effective unless signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
