RECITALS

WHEREAS, Company maintains ownership or control of one or more motor vehicles and requires certain driving services in connection with its business operations; and

Driver certifies that the information provided is true and authorizes Company to obtain Driver's motor vehicle record (MVR) and related driving history from appropriate authorities as necessary for verification and ongoing compliance.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective termination date. Company may immediately suspend driving privileges or terminate this Agreement for cause in the event of unsafe driving, conviction of a disqualifying offense, material misrepresentation, or failure to maintain required insurance.

CONFIDENTIALITY

Driver will have access to certain Company information, including routes, customer locations, schedules, and business processes. Driver agrees that during the term of this Agreement and for a period of two (2) years following termination, Driver will not disclose or use any Confidential Information except as necessary to perform duties under this Agreement. Confidential Information does not include information that is or becomes publicly known through no wrongful act of Driver.

Acknowledgement: Driver acknowledges receipt of and obligation to comply with the confidentiality provisions set forth above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attached schedules or written amendments executed by the parties, constitutes the entire agreement between Company and Driver with respect to the subject matter contained herein and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any modification must be in writing and signed by both parties.

ADDITIONAL PROVISIONS

Indemnification: Driver shall indemnify, defend, and hold harmless Company from and against all losses, damages, liabilities, and claims arising out of Driver's negligent or willful acts or omissions in the operation of Company vehicles.
