INSURANCE, MAINTENANCE & TAXES

Lessee shall maintain at all times collision, comprehensive, liability and uninsured motorist coverage with limits not less than required by law and with lessor named as loss payee and additional insured as to interests in the vehicle. Deductible shall not exceed: $ .

Lessee is responsible for routine maintenance, repairs, and all taxes (including personal property, sales, registration, and other governmental charges) arising from the lease or use of the vehicle unless otherwise stated in writing by lessor.

SECURITY, TITLE & REGISTRATION

Lessor retains legal title to the vehicle for the duration of this lease. Lessee has a security interest in the vehicle only as expressly granted in writing. Lessee shall not permit liens, encumbrances, or transfers of title without prior written consent of lessor.

Lessee shall promptly notify lessor of any required registration or title actions and shall comply with all notice and paperwork requirements to permit lessor to perfect and maintain any security interest under applicable law.

DEFAULT, REMEDIES & REPOSSESSION

Events of default include failure to make any payment when due, failure to maintain insurance, abandonment of the vehicle, fraudulent misrepresentation, or breach of any material obligation under this agreement. Upon default, lessor may declare the entire amount due immediately, repossess the vehicle without judicial process to the extent permitted by law, and recover costs of collection, repossession and storage, together with attorneys' fees and expenses.

Late payments will incur a late fee of $ or of the missed payment, whichever is greater. Interest on overdue amounts accrues at per annum, to the extent permitted by law.

EARLY TERMINATION, PURCHASE OPTION & RETURN

Lessee may not terminate this lease early without payment of early termination charges determined as the greater of the unpaid scheduled payments plus fees, or the amount necessary to protect lessor's residual interest, plus repossession and reconditioning costs. Lessee may purchase the vehicle at lease termination for the residual value stated above plus taxes and fees, provided Lessee has complied with all lease obligations.

REPRESENTATIONS, WARRANTIES & INDEMNITY

Lessee represents that all information provided to lessor is true and complete, that Lessee has authority to enter into this agreement, and that the vehicle will be used in a lawful manner. Lessee shall indemnify and hold lessor harmless from claims arising from Lessee's use, storage, operation or possession of the vehicle and from Lessee's failure to perform obligations herein.

NOTICES & GOVERNING LAW

Notices shall be delivered to the addresses provided above by certified mail, personal delivery, or other method providing written confirmation. This agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict-of-law rules.

Lessee acknowledges the odometer reading at commencement stated above and certifies to the best of Lessee's knowledge that the odometer reading is accurate. Lessee shall comply with all applicable emission, safety and licensing requirements.
