VEHICLE FLEET CONTRACT

RECITALS

WHEREAS, Fleet Provider is engaged in the business of procuring, leasing, operating and maintaining motor vehicles for commercial use and has the capacity and authority to supply and manage a vehicle fleet as described in this Agreement; and

WHEREAS, Client desires to secure from Fleet Provider a managed fleet of vehicles for Client operations under the terms and conditions set forth herein; and

WHEREAS, the Parties intend for this Agreement to set forth the scope, payment, term, insurance, maintenance and other obligations governing the provision and use of the fleet.

SCOPE OF WORK

FLEET DESCRIPTION AND DELIVERY

Fleet Provider will supply the following fleet to Client in accordance with the Scope of Work. Total number of vehicles: . Detailed inventory, including make, model, year and VIN for each vehicle, shall be recorded and appended to this Agreement as the Fleet Inventory Schedule and shall be updated by mutual written agreement.

PAYMENT TERMS

Client shall pay Fleet Provider the fees described below in consideration for the supply, operation and management of the fleet.

Late payments shall incur a late fee equal to the greater of: per month on the outstanding balance, or a flat fee of . Interest shall accrue from the payment due date until paid in full.

TERM AND TERMINATION

INSURANCE

CONFIDENTIALITY

Each Party shall hold in confidence and not disclose to any third party any Confidential Information received from the other Party, except as required by law, and shall use such Confidential Information solely for the performance of this Agreement. Confidential Information excludes information that is or becomes publicly known without breach, is independently developed, or is rightfully received from a third party.

INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against claims, liabilities, damages and expenses arising out of the indemnifying Party's negligence, willful misconduct or breach of this Agreement, subject to applicable limitations on liability set forth herein.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict of laws principles. The Parties will seek to resolve disputes in good faith prior to initiating litigation; nothing herein shall preclude either Party from seeking equitable relief.

ENTIRE AGREEMENT

This Agreement (including any attached Fleet Inventory Schedule and written amendments) constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.
