RECITALS

WHEREAS, Provider is engaged in the business of compiling, analyzing and delivering vehicle history reports compiled from available records, which may include title brands, accident and salvage records, odometer readings, service records and ownership history; and

WHEREAS, Client desires to obtain from Provider a vehicle history report for the vehicle identified below and to receive related advisory and documentation services in accordance with the terms set forth in this agreement; and

WHEREAS, Provider agrees to provide such report and services and Client agrees to pay the fees established below under the terms and conditions of this Agreement.

SCOPE OF WORK

Provider will compile a vehicle history report for the vehicle identified below, including but not limited to searches of title and brand records, accident and salvage records, odometer history, ownership history, lien and salvage notices, and service/maintenance records to the extent available in Provider's searchable sources. Provider will deliver the report in electronic format within of receipt of Client payment and required vehicle identifiers.

PAYMENT TERMS

Client shall pay the Fee Amount in full in accordance with the Payment Schedule. Overdue amounts shall accrue the Late Payment charge specified above and Provider may withhold delivery of the final report until payment is received in full. Payment disputes must be made in writing within days of invoice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to termination. Provider may terminate immediately for nonpayment or material breach by Client. Upon termination, Client shall remain liable for all fees and expenses accrued through the effective date of termination.

DISCLAIMERS; LIMITATIONS OF LIABILITY

Provider compiles the Vehicle History Report from third-party and public records. Provider warrants that it will use reasonable efforts to compile the information accurately from its sources. Client acknowledges and agrees that records may be incomplete, delayed, altered or erroneous; Provider does not guarantee complete accuracy or the discovery of all events. Provider's sole obligation is to deliver the report as described in Scope of Work.

Except for gross negligence or willful misconduct, Provider's aggregate liability arising out of or relating to this Agreement shall not exceed the fees paid by Client for the particular report giving rise to the claim. In no event shall Provider be liable for incidental, consequential, special or punitive damages.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with the performance of this Agreement ("Confidential Information") and shall not disclose such information to third parties except as required by law. Confidential Information shall not include information that is or becomes public through no breach of this Agreement.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Agreement, together with any exhibits and the Scope of Work, constitutes the entire agreement between Provider and Client with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, proposals and agreements, whether oral or written. Any amendment must be in writing and signed by both parties.

CERTIFICATION

Provider certifies that, to the best of its knowledge, the report delivered under this Agreement is a true and accurate compilation of the provider's searchable sources at the time of report generation. Provider makes no guarantee as to the completeness of third-party records and expressly disclaims any warranty, express or implied, except as expressly set forth herein.

Client acknowledges receipt of the report and accepts the limitations and scope of accuracy as described. Client shall not rely on the report as a warranty of vehicle condition or title status beyond the scope of the recorded items reflected in the report.
