RECITALS

WHEREAS, Reporting Company: is engaged in compiling, aggregating and providing vehicle history information derived from public records, proprietary databases and commercial sources; and

WHEREAS, Client Name: desires to obtain a Vehicle History Report concerning the vehicle identified as VIN: and Reporting Company agrees to prepare and deliver such report under the terms set forth herein.

WHEREAS, the parties wish to memorialize the scope, fees, limitations and legal terms applicable to the report and any ancillary services provided by Reporting Company.

CONFIDENTIALITY

All information exchanged under this Agreement that is identified as confidential or would reasonably be considered confidential shall be held in confidence and used solely for the purposes of performing the Scope of Work. Confidential Information shall not include information that is or becomes public other than by a breach of this Agreement.

LIMITATION OF LIABILITY; DISCLAIMER

Reporting Company compiles this Vehicle History Report from third-party public and proprietary sources. Reporting Company does not warrant the completeness or accuracy of third-party records and expressly disclaims all warranties, whether express or implied, including merchantability and fitness for a particular purpose. Except for willful misconduct or gross negligence, Reporting Company's aggregate liability arising out of or related to this Agreement or the Report shall not exceed the total fees paid by Client to Reporting Company under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and the Vehicle History Report delivered hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements and communications, whether written or oral.

CERTIFICATION AND ACKNOWLEDGMENTS

Reporting Company certifies that to the best of its knowledge the Report accurately reflects data obtained from available sources as of the reporting date. Client acknowledges that the Report is informational only and that Client retains sole responsibility for verification of any information material to a purchase, sale or other transaction involving the vehicle.
