WHEREAS, Client desires to obtain from Provider a vehicle history report regarding the motor vehicle identified below and Provider agrees to prepare and deliver such report subject to the terms and conditions of this Agreement; and

WHEREAS, the parties intend that this document constitute the entire agreement governing the preparation, delivery and permitted use of the vehicle history report.

Scope of Work

Provider shall compile, analyze and deliver to Client a written vehicle history report relating to the Vehicle identified above. The report shall include truthfully reported findings from available title, registration, accident, salvage, theft, service, lien and recall records and any other sources Provider reasonably uses. Provider will not physically inspect the Vehicle unless expressly agreed in writing.

Payment Terms

Total Fee:

Late Payment: If Client fails to pay within days of invoice due date, interest shall accrue at or the maximum allowed by law, whichever is less.

Term and Termination

This Agreement commences on the Effective Date: and shall continue until the earlier of delivery of the final report and full payment or termination as provided below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Termination shall not relieve Client of its obligation to pay for Services rendered through the date of termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except to its employees, agents or representatives who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential information does not include information that becomes publicly available through no fault of the receiving party or that is independently developed without use of the disclosing party's confidential information.

Certification, Limitations and Use

Provider certifies that to the best of its knowledge the entries in this report accurately reflect the records and sources reviewed at the time the report was prepared. Client acknowledges that Provider's report is compiled from third-party records and that Provider does not guarantee completeness or accuracy of third-party sources. Provider makes no warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Client agrees that Provider's liability for any claim arising out of or related to this Agreement or the report shall be limited to direct damages not to exceed the total fees paid by Client to Provider under this Agreement; in no event shall Provider be liable for incidental, consequential, punitive or special damages.

Use of this report is restricted to the Client named above. Client shall not resell, redistribute or otherwise provide copies of the report to third parties without Provider's prior written consent, except as required by law or for bona fide vehicle transaction purposes where disclosure is necessary.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below without regard to conflict of laws principles:

Entire Agreement

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
