Vehicle Inspection Checklist and Services Agreement

Recitals

WHEREAS, Service Provider: represents that it is qualified to perform vehicle inspections and related services; and

WHEREAS, Client: desires to engage Service Provider to perform a detailed vehicle inspection under the terms set forth herein.

WHEREAS, the parties wish to document the scope, payment, confidentiality, and other terms governing the engagement, together with a contemporaneous vehicle inspection checklist to record the condition of the vehicle at the time of inspection.

Scope of Work

Service Provider shall perform a visual and functional inspection of the vehicle and prepare a written inspection report documenting observed conditions, deficiencies, and recommended repairs. The inspection shall include exterior, interior, engine and drivetrain, brakes and suspension, tires and wheels, lights and electrical systems, fluid levels, and a road test when safe and practicable.

Payment Terms

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this section, shall continue until End Date: .

Either party may terminate for convenience upon prior written notice of to the other party. Termination for cause may be immediate where a party materially breaches its obligations and fails to cure within a reasonable period.

Confidentiality

Each party shall treat as confidential all non-public business information obtained from the other party in connection with the inspection and shall not disclose such information except to its employees or contractors who have a need to know and are bound by confidentiality obligations. This obligation does not apply to information that is or becomes public through no fault of the receiving party or is required to be disclosed by law.

Governing Law

This Agreement and any dispute arising out of or relating to it shall be governed by the laws of the State of without regard to that state's conflicts of law principles.

Entire Agreement

This Agreement, together with the completed vehicle inspection checklist and any attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
