VEHICLE MAINTENANCE SERVICE AGREEMENT

WHEREAS

WHEREAS, Service Provider is in the business of performing maintenance, diagnostic and repair services for motor vehicles and holds the personnel, facilities and equipment necessary to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform maintenance and repair services on the vehicle described above under the terms and conditions set forth in this Agreement effective as of .

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the maintenance, diagnostic and repair services described below and any additional services expressly agreed in writing by the parties. Service Provider will perform services in a workmanlike manner consistent with industry standards.

Payment Terms

Client agrees to pay Service Provider for parts and labor in accordance with the following terms.

Deposit due prior to commencement of work unless otherwise agreed in writing. Remaining balance payable on completion and prior to release of the vehicle unless alternative payment schedule is set forth below.

Client authorizes Service Provider to order and install parts as necessary. Unless otherwise agreed, Client is responsible for the cost of parts, taxes, and disposal fees. Any additional or unforeseen repairs estimated to exceed the agreed estimate by require prior written authorization from Client, unless Client has granted prior blanket authorization below.

Term and Termination

This Agreement commences on and shall continue until completion of the services described in the Scope of Work or until , whichever occurs first.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Service Provider may retain any deposit and is entitled to payment for work performed and parts ordered through the date of termination.

Confidentiality

Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with this Agreement, including diagnostic reports, proprietary processes, and pricing, and not to disclose such information to third parties except as required by law or to the extent necessary to perform the services. This confidentiality obligation shall survive termination of this Agreement for a period of years.

Workmanship and Parts Warranty

Service Provider warrants labor performed by Service Provider for a period of and warrants installed parts as provided by the part manufacturer. Warranty covers only defects in workmanship and materials and does not cover consequential damage, failure due to pre-existing conditions, misuse, or lack of maintenance. To make a warranty claim, Client must notify Service Provider within the applicable warranty period and present proof of purchase and the vehicle for inspection.

Limitation of Liability and Indemnity

To the fullest extent permitted by law, Service Provider's liability for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total amount actually paid by Client under this Agreement. Service Provider shall not be liable for incidental, special, punitive or consequential damages. Client agrees to indemnify and hold Service Provider harmless from third-party claims arising from Client's breach of this Agreement, Client's failure to disclose material information, or Client's negligent or intentional acts.

Authorization to Operate Vehicle

Client authorizes Service Provider to test drive and operate the vehicle as reasonably necessary to perform the services and diagnostics. Client represents that the vehicle is insured and that Service Provider is not responsible for damage or loss covered by Client's insurance.

Insurance and Risk of Loss

Client warrants that the vehicle is insured with liability and comprehensive coverage. Risk of loss for the vehicle remains with Client except where loss or damage is caused by the gross negligence of Service Provider. Service Provider shall maintain commercially reasonable insurance; Client may request proof of insurance prior to delivery of the vehicle for repair.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation. If negotiation fails, the parties agree to mediate the dispute prior to initiating litigation. If mediation is unsuccessful, either party may pursue remedies in a court of competent jurisdiction in the state identified above.

Entire Agreement

This Agreement, including any written estimates and invoices incorporated by reference, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior oral or written agreements. Any amendment or modification must be in writing and signed by both parties.
