VEHICLE MANAGEMENT AGREEMENT

This Vehicle Management Agreement ("Agreement") is entered into as of Effective Date: by and between Owner Name: ("Owner") and Manager Name: ("Manager").

RECITALS

WHEREAS, Owner is the legal owner of certain motor vehicles and associated equipment as identified in the Vehicle Schedule attached hereto; and

WHEREAS, Manager is engaged in the business of fleet and vehicle management and possesses the expertise and resources to manage, maintain, and operate Owner's vehicles; and

WHEREAS, Owner desires to engage Manager to perform vehicle management services subject to the terms and conditions set forth herein, and Manager is willing to provide such services.

SCOPE OF WORK

Manager shall provide the following services with respect to the vehicles listed in the Vehicle Schedule: maintenance scheduling and oversight, driver qualification and supervision, vehicle registration and permitting, fuel and toll management, claims coordination with insurers, dispatch and routing assistance, and record-keeping related to operations and compliance.

PAYMENT TERMS

Owner shall pay Manager for services rendered in accordance with the terms below. All payments are in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party delivered not less than days prior to the intended termination date. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that it will have access to Confidential Information of the other party. "Confidential Information" means all nonpublic, proprietary, or business information disclosed in connection with this Agreement, including but not limited to driver records, maintenance records, financial terms, routes, pricing, and customer lists. Each party shall (a) use Confidential Information solely for the performance of its obligations under this Agreement; (b) restrict disclosure to employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein; and (c) employ reasonable security measures to protect Confidential Information.

Confidentiality obligations shall survive termination of this Agreement for a period of unless otherwise required by law.

INSURANCE; LIABILITY; INDEMNIFICATION

Manager shall maintain throughout the Term commercial liability and automobile liability insurance with limits sufficient to cover liabilities reasonably attendant to the operation of the vehicles, and shall furnish certificates of insurance upon request. Owner shall maintain title and physical damage insurance unless otherwise agreed. The parties agree to indemnify, defend, and hold harmless the other party from claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, subject to applicable limits and exclusions contained in such party's insurance policies.

RECORDS AND AUDIT

Manager shall maintain accurate and complete records of operations, maintenance, fuel purchases, tolls, fines, and other expenditures related to the vehicles. Owner shall have the right, upon reasonable prior notice and during normal business hours, to inspect and copy such records and supporting documents for a period of three (3) years following the date of the relevant transaction.

COMPLIANCE WITH LAWS

Each party shall conduct its performance under this Agreement in compliance with all applicable laws, regulations, and licensing requirements governing vehicle operations, driver qualifications, environmental controls, and safety standards.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation. If the parties cannot resolve a dispute within thirty (30) days, either party may seek relief in the state or federal courts located within the selected jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any attached schedules and written amendments executed by both parties, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous oral or written agreements, proposals, and communications relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an employer-employee, joint venture, or agency relationship except as explicitly stated.
