Either party may terminate this Agreement upon written notice to the other party in accordance with the notice period above. Termination does not relieve either party of obligations that accrued prior to termination, including payment obligations and liabilities for breach.

CONFIDENTIALITY

The parties acknowledge that financial terms, payment arrangements, and other non-public business information shared in connection with this Agreement constitute confidential information. Each party shall keep such information confidential and shall not disclose it to third parties except to the extent required by law, to its legal or financial advisors under confidentiality obligations, or with the prior written consent of the other party. This confidentiality obligation survives termination or expiration of this Agreement for a period of three (3) years.

REPRESENTATIONS AND WARRANTIES; LIENS

INSURANCE, MAINTENANCE AND USE

Insurance shall be maintained on the Vehicle in accordance with applicable law. Minimum coverage limits and named insureds shall be as follows:

TRANSFER OF TITLE; SALE

Title to the Vehicle shall remain in the name of the person(s) listed on the certificate of title until such time as title is lawfully transferred in accordance with this Agreement. Any proposed sale or transfer of the Vehicle shall require the written consent of both parties unless otherwise agreed in writing. Proceeds from any sale shall be distributed in accordance with the ownership percentages set forth above, after deduction of outstanding liens, taxes, and agreed expenses.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the courts located in that State for any disputes arising out of this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any schedules or written attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and shall not affect interpretation. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
