Either party may terminate this Agreement upon material breach by the other party if such breach remains uncured for the notice period specified above. Termination shall not affect obligations that by their nature survive termination, including representations, warranties, confidentiality, indemnity and payment obligations.

Representations, Warranties and Release

Owner represents and warrants that Owner is the sole legal owner of the vehicle, that the vehicle is free from undisclosed liens except as disclosed in this Agreement, that Owner has full authority to transfer or release title to the vehicle, and that all information provided in this Agreement is true and correct.

Upon receipt of consideration described in Payment Terms and delivery of the signed title and any required documents, Owner hereby irrevocably releases, assigns and transfers all rights, title and interest in the vehicle to Transferee. Transferee accepts said transfer subject to the terms contained herein.

ODOMETER DISCLOSURE: Owner certifies to the best of Owner's knowledge that the odometer reading set forth herein reflects the mileage of the vehicle and is consistent with all applicable odometer disclosure laws. If the mileage is in excess of the odometer mechanical limits or if the odometer reading is not the actual mileage, Owner shall so indicate in writing in the lien details section above.

Confidentiality

The parties agree that non-public commercial terms and payment information exchanged under this Agreement are confidential and shall not be disclosed to third parties except as required by law or to enforce the terms of this Agreement. This confidentiality obligation survives termination or expiration of this Agreement for a period of two (2) years.

Indemnity

Each party shall indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities, costs and expenses (including reasonable attorney fees) arising from the indemnifying party's breach of its representations, warranties or obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state: , without regard to its conflicts of law principles.

Entire Agreement
