2. Scope of Registration Services

The Registrar will perform the following services on behalf of the Registrant: prepare and submit required registration and title documents; process payment of required fees to the appropriate authority when authorized; obtain and deliver registration certificates and plates as applicable; and maintain records evidencing registration activity.

3. Payment Terms

All fees payable to the Registrar are non-refundable except as expressly provided in this document. The Registrant authorizes the Registrar to obtain and apply funds as necessary to satisfy registration fees on the Registrant's behalf only as set forth in the Payment Schedule.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period following written notice. Termination does not relieve either party of obligations accrued prior to the effective date of termination, including payment obligations and any duties to provide accurate information to the appropriate authorities.

5. Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Agreement, including but not limited to personal identifying information, financial information, title documents and any proprietary processing methods ("Confidential Information"). Confidential Information shall not be disclosed except as required by law or necessary to perform registration services.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

7. Representations, Warranties and Certifications

The Registrant represents and warrants that the information provided in this document and any attachments is true, complete and accurate to the best of the Registrant's knowledge. The Registrant further certifies that there are no undisclosed security interests or encumbrances other than those declared in this document.

8. Entire Agreement

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party shall specify in writing.
