VEHICLE RENTAL AGREEMENT

WHEREAS, Lessee desires to rent the Vehicle from Lessor for lawful business or personal use subject to the terms and conditions set forth in this Agreement, and Lessor agrees to rent the Vehicle to Lessee on those terms.

Scope of Use

The Vehicle shall be used only for the purposes and within the geographic area described below. Lessee shall not use the Vehicle for commercial hire, racing, or any illegal purpose. Any deviation from the described use requires prior written consent of Lessor.

Term and Termination

Rental Term Start Date: and End Date: . This Agreement shall automatically terminate at the end of the Term unless extended in writing signed by both parties.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Lessor may terminate immediately for conduct that creates imminent risk of loss, damage or danger to the Vehicle or third parties.

Payment Terms

All payments not received within five (5) days of the due date shall bear the Late Fee specified above and may incur interest at the maximum rate permitted by law. Lessee shall be responsible for all costs of collection, including reasonable attorneys' fees.

Insurance, Liability, and Indemnity

Lessee shall, at Lessee's expense, maintain all required insurance coverage including liability, collision and comprehensive insurance with limits adequate to cover loss or damage to the Vehicle and third-party claims. Lessee's insurer must waive subrogation against Lessor to the extent permitted by policy.

Lessee shall indemnify, defend and hold harmless Lessor from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Lessee's use of the Vehicle, except to the extent caused by Lessor's gross negligence or willful misconduct.

Vehicle Condition and Inspection

Lessee acknowledges receipt of the Vehicle in the condition described below and shall return the Vehicle in substantially the same condition, ordinary wear and tear excepted. Parties shall complete an inspection record at pickup and return.

Use Restrictions

Lessee shall not:

Operate the Vehicle off-road or on unpaved trails without prior written consent.

Use the Vehicle for racing, speed tests, or for hire (commercial passenger transport) unless expressly authorized.

Take or operate the Vehicle outside the agreed geographic area or across international borders without prior written consent.

Confidentiality

The parties acknowledge that certain business terms and information exchanged under this Agreement may be confidential. Each party agrees to protect confidential information of the other party and to use such information solely for purposes of performing obligations under this Agreement, except as required by law. Confidential information does not include information that is or becomes public without breach of this Agreement.

Governing Law; Dispute Resolution
