VEHICLE RENTAL AGREEMENT

This Vehicle Rental Agreement ("Agreement") is entered into on Effective Date: by and between Lessor Name: of Lessor Address: (the "Lessor") and Renter Name: of Renter Address: (the "Renter").

RECITALS

WHEREAS, Lessor is the lawful owner or authorized lessor of the motor vehicle described below and has authority to rent such vehicle; and

WHEREAS, Renter desires to rent the vehicle for temporary use and agrees to the terms and conditions set forth in this Agreement; and

WHEREAS, Lessor and Renter intend for this Agreement to set forth the parties' rights, duties and remedies concerning the rental of the vehicle.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

In this Agreement: "Vehicle" means the motor vehicle described in Section 2; "Rental Term" means the period specified in Section 3; "Permitted Driver" means any individual expressly authorized in writing by Lessor to operate the Vehicle.

The Rental Term commences on Start Date: and ends on End Date: , unless earlier terminated in accordance with this Agreement. Time is of the essence with respect to return.

4. RENT, DEPOSIT AND CHARGES

Renter shall pay all taxes, tolls, fines and charges arising from Renter's use of the Vehicle. Late return will incur a late fee of per day and other remedies provided by law.

Excess mileage will be charged at per mile.

5. USE AND RESTRICTIONS

Renter shall operate the Vehicle only for lawful purposes and shall not: (a) operate the Vehicle under the influence of alcohol or drugs; (b) permit any unlisted person to drive the Vehicle; (c) use the Vehicle to transport hazardous materials or for hire; or (d) remove the Vehicle from the continental United States without Lessor's prior written consent. Renter shall ensure that all Permitted Drivers hold a valid driver's license and meet any minimum age requirement of years.

6. MAINTENANCE AND REPAIRS

Renter shall maintain the Vehicle in good condition and promptly notify Lessor of any mechanical issues. Renter is responsible for routine maintenance and shall not make major repairs without Lessor's prior written consent, except where immediate repair is necessary to prevent further loss or damage. Lessor shall be responsible for and shall reimburse Renter for documented pre-existing defects known to Lessor at the time of rental.

7. INSURANCE AND INDEMNITY

Renter shall maintain liability and physical damage insurance covering the Vehicle with limits not less than those indicated: Liability per occurrence: . Renter shall provide proof of coverage prior to taking possession. To the extent permitted by law, Renter shall indemnify, defend and hold harmless Lessor and its agents from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Renter's use of the Vehicle, except to the extent caused by Lessor's gross negligence or willful misconduct.

8. ACCIDENTS, LOSS AND REPORTING

In the event of any collision, theft, loss or damage, Renter shall: (a) immediately notify local law enforcement; (b) obtain a police report where available; (c) notify Lessor within 24 hours; and (d) provide Lessor with all information, documents and cooperation reasonably requested. Renter remains responsible for any applicable deductibles and damages attributable to Renter's use.

9. RETURN OF VEHICLE

Renter shall return the Vehicle to Return Location: on or before the end of the Rental Term in substantially the same condition as received, ordinary wear and tear excepted. Odometer at Return (miles): .

10. DEFAULT AND REMEDIES

If Renter fails to pay any amount when due, breaches any material term of this Agreement, or uses the Vehicle in violation of this Agreement, Lessor may terminate this Agreement, repossess the Vehicle and pursue all remedies available at law or equity, including recovery of unpaid fees, costs of recovery, and damages. Renter shall be liable for all costs of collection, including reasonable attorneys' fees.

11. NOTICES

All notices under this Agreement must be in writing and delivered to the addresses below by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested).

12. AMENDMENT AND WAIVER

No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties. A waiver of any breach shall not constitute a waiver of any other or subsequent breach.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

14. ENTIRE AGREEMENT

This Agreement, including any schedules or written attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings and representations, whether written or oral.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect and the parties will negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic intent.

16. COUNTERPARTS AND ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one instrument. Signatures transmitted by electronic means (including facsimile or electronic signature platform) will be valid and binding.

17. ADDITIONAL PROVISIONS
