RECITALS

WHEREAS, Client Name: (the "Owner") is the registered owner or authorized agent of the vehicle described below; and

WHEREAS, Repair Facility: (the "Facility") is engaged in the business of vehicle repair and maintenance and is willing to perform the services described in this authorization under the terms set forth herein.

NOW, THEREFORE, Owner authorizes Facility to perform repairs, diagnostics, and related services on the vehicle identified below in accordance with the Scope of Work and Payment Terms specified in this document.

SCOPE OF WORK

Owner acknowledges that the Scope of Work above describes the primary repairs and that additional diagnostics and repairs may be required following initial inspection. Facility will notify Owner of any work that exceeds pre-authorized limits unless otherwise agreed below.

PAYMENT TERMS

Owner authorizes Facility to procure parts and materials reasonably necessary to complete the Scope of Work. without additional approval from Owner.

This authorization shall remain in effect until completion of the Scope of Work or earlier termination by either party upon written notice delivered to the other party at least days prior to termination. Facility may suspend work if Owner fails to make payments in accordance with Payment Terms.

If repairs are not paid for within 30 days of completion, Facility may impose storage charges and retain a mechanic's lien and, if lawful, may dispose of the vehicle in accordance with applicable law after providing required notices.

CONFIDENTIALITY

Each party agrees to keep confidential any non-public personal information and diagnostic data obtained in the course of performance of this Agreement. Facility may disclose vehicle condition and repair information to Owner and to insurers, sub-contractors, and parts suppliers as necessary to perform the services, provided such third parties are bound to privacy and confidentiality obligations no less protective than those contained herein.

LIABILITY, WARRANTIES & ACKNOWLEDGEMENTS

Facility will exercise commercially reasonable workmanship and will provide warranty for repair work for the period and scope described in the invoice. Except as expressly stated, Facility disclaims all other warranties, express or implied. Facility's liability for any claim arising from the services shall be limited to direct damages up to the amount paid by Owner for the specific repair giving rise to the claim. Facility is not liable for loss of personal items left in the vehicle.

Owner certifies that Owner has authority to authorize repairs and that all information provided herein is true and accurate. Owner authorizes Facility to operate the vehicle for testing, inspection, and diagnostic purposes.

GOVERNING LAW & ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

This document, together with any written estimates, authorizations, and invoices referenced herein, constitutes the entire agreement between Owner and Facility with respect to the subject matter and supersedes all prior or contemporaneous oral or written agreements. Any modification must be in writing and signed by both parties.
