VEHICLE REPAIR AGREEMENT (RV REPAIR)

Recitals

WHEREAS, Owner Name: is the registered owner of the recreational vehicle described below; and

WHEREAS, Service Provider Name: operates a repair facility authorized to perform maintenance and repairs on recreational vehicles; and

WHEREAS, Owner desires to engage Service Provider, and Service Provider agrees to perform the repair and related services under the terms of this Agreement.

Service Provider shall perform the repair, maintenance, diagnostic, and related services described below. Owner authorizes Service Provider to perform the work specified and to procure parts necessary to complete repairs.

Payment Terms

Owner agrees to pay Service Provider for parts, labor, and materials in accordance with the following terms.

Late payment: A late fee of or a minimum of shall apply to amounts not paid when due. Owner shall also be responsible for collection costs, including reasonable attorneys' fees.

Parts pricing: Parts shall be billed at cost plus markup of unless otherwise agreed in writing.

Authorization, Liens and Storage

Owner authorizes Service Provider to operate the vehicle for purposes of testing and delivery. Owner further acknowledges and agrees that Service Provider retains a mechanic's lien on the vehicle for unpaid labor, parts, storage, towing, and disposal charges. If the vehicle is not retrieved within days after notice of completion, Service Provider may assess storage fees of and may dispose of the vehicle in accordance with applicable law.

Warranty and Limitation of Liability

Service Provider's total liability for damages under this Agreement shall not exceed the amount actually paid by Owner for the specific repair giving rise to the claim.

Either party may terminate this Agreement for material breach with written notice delivered at least days prior to termination; Owner remains responsible for costs for work completed and parts ordered prior to termination.

Confidentiality

"Confidential Information" includes nonpublic business, financial, technical, or operational information disclosed by either party in connection with this Agreement. Each party shall (a) maintain Confidential Information in strict confidence, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to third parties except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations. Confidentiality obligations do not apply to information that is or becomes publicly known without breach, is independently developed, or is required to be disclosed by law.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to its conflict-of-law principles. Parties shall first attempt to resolve disputes in good faith by negotiation. If unsuccessful, disputes shall be resolved by binding arbitration in the county where Service Provider is located, under commercially reasonable arbitration rules selected by the parties.

Entire Agreement; Amendments

This Agreement, including all authorizations and estimates signed by the parties, constitutes the entire agreement between Owner and Service Provider concerning the subject matter hereof and supersedes all prior agreements and understandings. Any modification or amendment must be in writing and signed by both parties.

Notices

Notices required under this Agreement shall be delivered to the contact addresses provided above and are effective upon personal delivery, confirmed delivery by courier, or three days after deposit in the U.S. mail, postage prepaid.

By signing below, Owner acknowledges receipt of a copy of this Agreement, understands and accepts the terms, and authorizes the Service Provider to perform the described repairs subject to the payment terms and conditions herein.
