Scope of Work

Verifier will perform the following services: examine title certificate(s), recorded lien instruments, odometer disclosures, and any supporting documents provided by Requestor or obtained from official records; compare vehicle identifiers, issue a written verification report stating the presence or absence of recorded liens and title brands, and attach copies or references to the source documents relied upon.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach is effective upon written notice if the breaching party fails to cure within days after receipt of notice.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed in connection with the verification services, including copies of title documents, lien records, and personal identifiers. Confidential information shall not be disclosed except (a) to employees or agents on a need-to-know basis, (b) pursuant to lawfully issued process, or (c) with the disclosing party's prior written consent. This obligation survives termination for a period of two years.

Representations, Limitations and Indemnity

Verifier represents that it will exercise reasonable professional care in examining available records. Verifier does not guarantee absolute completeness of public records or documents not provided by Requestor. Requestor represents that all materials provided to Verifier are true and accurate to the best of Requestor's knowledge. Requestor shall indemnify and hold harmless Verifier from claims arising from inaccurate or forged source documents supplied by Requestor, except to the extent caused by Verifier's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

Entire Agreement

This document, together with any written attachments and invoices referenced herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior proposals, communications and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
