VEHICLE TRAILER AGREEMENT

This Vehicle Trailer Agreement ("Agreement") is made and entered into as of Effective Date: by and between Owner Name: , Owner Address: (hereinafter "Owner"), and Renter Name: , Renter Address: (hereinafter "Renter").

RECITALS

WHEREAS, Owner is the lawful owner of the trailer described herein and holds authority to rent and lease said trailer; and

WHEREAS, Renter desires to rent the trailer for lawful transport and related uses subject to the terms and conditions set forth herein; and

WHEREAS, Owner and Renter wish to set forth their respective rights and obligations in writing.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, Owner and Renter agree as follows:

1. DESCRIPTION OF TRAILER

Owner hereby rents to Renter, and Renter hereby rents from Owner, the trailer described as follows:

The rental term begins on and ends on , unless earlier terminated in accordance with this Agreement. Any holdover by Renter shall constitute a default and Renter shall be liable for additional charges.

3. RENTAL FEES, CHARGES, AND SECURITY DEPOSIT

Renter shall pay Owner the following sums for use of the trailer:

All sums due are payable upon demand. Owner may apply the security deposit to unpaid fees, costs of repair for damage beyond ordinary wear and tear, and any towing or storage charges incurred as a result of Renter's use. Any balance owed by Renter after application of the deposit shall be paid within ten (10) days of Owner's written demand.

4. USE, OPERATION, AND RESTRICTIONS

Renter shall operate and use the trailer in a careful and lawful manner, consistent with the manufacturer's specifications and weight limits. Renter shall not:

(a) use the trailer to carry passengers for hire or for any illegal purpose; (b) allow any person not authorized by Owner to operate the trailer; (c) sublease or assign this Agreement without Owner's prior written consent; or (d) exceed the trailer's gross load rating.

Renter warrants that all operators of the towing vehicle are properly licensed and have experience towing similar trailers. Renter will secure all loads, comply with weight and dimension regulations, and be responsible for all fines, penalties, and costs resulting from Renter's use.

5. MAINTENANCE, DAMAGE, AND REPAIRS

Renter shall at its own expense perform routine maintenance, including tire pressure, lights, hitch connections, and brakes. Renter shall promptly notify Owner of any damage, mechanical defect, loss, or accident involving the trailer. Renter shall not authorize repairs in excess of without Owner's prior written consent. If repairs are necessary due to Renter's negligence, Renter shall pay the reasonable cost of such repairs.

6. INSURANCE AND LIABILITY

Renter shall, at Renter's expense, maintain insurance coverage for the trailer and the operation thereof, including liability insurance with minimum limits of , comprehensive and collision coverage for the trailer with a deductible not to exceed , and any other coverages required by law. Renter shall name Owner as additional insured and loss payee as applicable and shall furnish certificates of insurance upon Owner's request.

Owner shall not be liable for indirect, incidental, special, or consequential damages arising out of Renter's use of the trailer. Renter assumes all risk of loss or damage to property transported by Renter.

7. INDEMNIFICATION

Renter shall indemnify, defend and hold Owner, its officers, agents and employees harmless from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Renter's use, operation, possession or maintenance of the trailer, except to the extent caused by Owner's gross negligence or willful misconduct.

8. LOSS, THEFT, AND TOTAL LOSS

In the event of theft, total loss, or destruction of the trailer while in Renter's possession, Renter shall immediately notify Owner and law enforcement. Renter shall be responsible for the deductible under the applicable insurance policy and, if not covered by insurance, for the fair market value of the trailer at the time of loss as determined by agreement of the parties or, failing agreement, by appraisal.

9. DEFAULT AND REMEDIES

The following shall constitute events of default: failure to pay sums when due; unauthorized use or transfer of the trailer; abandonment; or material breach of any covenant herein. Upon default, Owner may (without limiting other remedies) retake possession of the trailer, terminate this Agreement, and pursue damages, including reasonable costs of recovery, storage, and attorneys' fees.

10. RETURN OF TRAILER

Renter shall return the trailer to Owner at the location specified by Owner in the same condition as received, ordinary wear and tear excepted, on or before the termination date. Renter shall be responsible for costs to clean, repair, or remedy any damage beyond ordinary wear and tear.

11. SECURITY INTEREST

To secure Renter's obligations under this Agreement, Renter grants Owner a security interest in any property, proceeds, and the trailer itself to the extent permitted by law. Renter agrees to execute any financing statements or other documents necessary to perfect Owner's security interest if requested.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered personally or sent by certified mail, return receipt requested, or by overnight courier to the addresses set forth below or such other address as a party may designate in writing.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties below. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising out of this Agreement.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings and agreements. No oral statements or prior agreements shall have any force or effect.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and shall be enforced to the fullest extent permitted by law.

16. AMENDMENTS; WAIVER

No amendment to this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by a party to exercise any right shall operate as a waiver of that right.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed original signatures.
