VEHICLE TRUCK AGREEMENT

This Vehicle Truck Agreement ("Agreement") is entered into on by and between:

RECITALS

WHEREAS, Owner is the registered owner of the vehicle described below and is willing to make that vehicle available to Carrier for the provision of transportation services under the terms set forth in this Agreement; and

WHEREAS, Carrier represents that it has all necessary authority, licenses, permits and insurance to operate the vehicle and perform the services contemplated by this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the use, operation, maintenance and compensation for the vehicle listed below.

SCOPE OF WORK

Carrier shall provide vehicle operation, transportation, loading and unloading services and any related services as expressly described below. Carrier shall perform services in a commercially reasonable manner in compliance with all applicable law and industry standards.

PAYMENT TERMS

In consideration for the services and vehicle use provided by Owner and Carrier, Client shall pay the following compensation under the terms below.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the effective termination date. Immediate termination is permitted by either party for material breach, loss of required insurance or revocation of required authority.

CONFIDENTIALITY

Each party agrees that it shall treat as confidential and shall not disclose to any third party any non-public information concerning the business, operations, customers, rates, routes, cargo manifests, pricing, or other proprietary information of the other party obtained in connection with this Agreement, except as required by law or to its employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

INSURANCE AND INDEMNIFICATION

Carrier shall maintain, at Carrier's expense, commercial automobile liability, cargo insurance and any additional insurance required by law with minimum limits as agreed between the parties. Evidence of insurance shall be provided to Owner upon request. Carrier shall indemnify, defend and hold harmless Owner from and against any claims, liabilities, losses, costs or expenses (including reasonable attorney's fees) arising out of Carrier's operation of the vehicle, except to the extent caused by Owner's gross negligence or willful misconduct.

COMPLIANCE WITH LAW

Each party shall at all times comply with all applicable federal, state and local laws, regulations and rules governing motor carriers, vehicle safety, hours-of-service, licensing, permits, and hazardous materials when applicable. Each party shall promptly notify the other of any investigation, claim or suspension that affects its ability to perform under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Any dispute arising out of or relating to this Agreement shall be resolved by litigation in the courts located in that State unless the parties mutually agree in writing to pursue alternative dispute resolution.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.
