VEHICLE USE AGREEMENT

This Vehicle Use Agreement (the "Agreement") is entered into as of by and between Owner Name: with Address: and User Name: with Address:

WHEREAS

WHEREAS, Owner is the legal owner of the vehicle described herein and desires to permit limited use of the vehicle by User under the terms and conditions set forth in this Agreement; and

WHEREAS, User desires to use the vehicle for the specific purposes, and agrees to accept responsibility for the vehicle and to comply with the obligations described in this Agreement.

WHEREAS, the parties intend for this Agreement to define the scope, payment, risk allocation, and obligations related to the use of the vehicle.

Vehicle Description

Scope of Work

The User is authorized to operate the vehicle solely for the purpose(s) described below. Any use outside the described scope requires prior written consent of Owner.

Payment Terms

In consideration for the use granted under this Agreement, User shall pay Owner as follows.

All payments shall be made in lawful currency of the applicable jurisdiction. User shall be responsible for any collection costs, reasonable attorneys' fees, and costs associated with enforcement of payment obligations.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless terminated earlier in accordance with this Agreement.

Owner may terminate this Agreement immediately for serious breach, for loss or destruction of the vehicle, or to protect persons or property. User may terminate for Owner's material breach following a reasonable opportunity to cure as provided above.

Insurance and Liability

During the term of this Agreement, the User shall maintain insurance covering liability, comprehensive and collision as required below. User shall deliver proof of insurance to Owner prior to initial use and upon any renewal.

Maintenance, Repairs and Operating Costs

Responsibility for routine maintenance, repairs, fuel, tolls, parking, and other operating costs shall be allocated as provided below. User shall promptly notify Owner of mechanical issues and shall not operate the vehicle when unsafe.

Indemnification

User shall indemnify, defend and hold harmless Owner and its officers, agents and employees from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the User's operation of the vehicle, except to the extent caused by Owner's gross negligence or willful misconduct.

Confidentiality

Each party shall maintain in confidence all non-public information provided by the other party in connection with this Agreement that is marked or reasonably understood to be confidential. Confidential information shall not include information that is or becomes publicly available through no breach by the receiving party, or that is independently developed without use of the disclosing party's confidential information.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Notices

Notices required under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other addresses as a party may designate in writing, and shall be effective upon personal delivery, or three days after deposit in the mail when sent by certified mail, return receipt requested.
