Warrantor warrants that, subject to the limitations and exclusions contained in this Agreement, the parts and labor specified in the Scope of Work will be free from material defects in workmanship and materials for a period of or until the vehicle reaches an additional , whichever occurs first, commencing on the Start Date specified below.

Incidental or consequential damages are expressly excluded to the maximum extent permitted by law.

Each party shall keep confidential and shall not disclose to any third party any non-public business or technical information of the other party obtained in connection with this Agreement, except as required by law, and except disclosures to affiliates, professional advisors, or as necessary to enforce rights under this Agreement. The confidentiality obligations shall remain in effect for months following termination.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of any disputes arising under this Agreement.

Entire Agreement; Amendment

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and representations, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or by nationally recognized overnight courier, to the address of the party set forth below or to such other address as either party may designate by notice.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise. Warrantor's aggregate liability arising out of or related to this Agreement shall not exceed the total amount actually paid by Customer to Warrantor under this Agreement.
