VEHICLE WARRANT AGREEMENT

This Vehicle Warrant Agreement ("Agreement") is made and entered into on this day of , by and between Warrantor: with principal place of business at , and Owner: residing at .

RECITALS

WHEREAS, Warrantor is engaged in the business of providing vehicle warranties and related administrative services; and

WHEREAS, Owner is the legal owner of the motor vehicle described as: Year Make Model , VIN with odometer reading miles, which Owner desires to have covered under the warranty described herein.

WHEREAS, the parties wish to set forth the terms and conditions under which Warrantor will warrant repairs to the vehicle specified above.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Definitions

For purposes of this Agreement, the following terms have the meanings set forth below:

"Vehicle" means the motor vehicle identified above. "Warranty Period" means the period beginning on the effective date and continuing for months or until the odometer reaches miles, whichever occurs first.

2. Warranty Grant

Subject to the terms, exclusions, conditions and limitations contained in this Agreement, Warrantor warrants that during the Warranty Period Warrantor will, at its option, repair, replace or reimburse Owner for the repair or replacement of Covered Components that fail due to mechanical or electrical breakdown.

"Covered Components" shall consist of the powertrain components and any additional components specifically listed in an attached coverage schedule. The maximum aggregate liability of Warrantor under this Agreement for all claims pertaining to the Vehicle shall not exceed $. A per-repair deductible of $ shall apply to each authorized repair unless otherwise agreed in writing.

3. Exclusions

This Agreement does not cover: (a) normal wear and tear, maintenance items, expendable parts including but not limited to brake pads, bulbs, filters, hoses and belts unless expressly listed as Covered Components; (b) damage caused by collision, theft, vandalism, fire, water, flood, salt corrosion, or acts of God; (c) damage caused by racing, abuse, neglect, or operation in violation of the owner's manual; (d) pre-existing conditions discoverable by reasonable inspection prior to the effective date; and (e) consequential, incidental or punitive damages.

If repairs are made without prior authorization when prior authorization is required, Warrantor reserves the right to deny reimbursement unless Warrantor subsequently determines the repair was reasonable and necessary.

4. Claims Procedure

To make a claim under this Agreement, Owner must provide prompt written notice to Warrantor and present the Vehicle for inspection and repair to an authorized repair facility. Owner shall provide copies of all repair orders and receipts. No claim will be paid unless Owner complies with the requirements of this Section.

5. Repair and Payment

Warrantor will authorize repairs and, subject to applicable limits and deductibles, will pay the repair facility directly or reimburse Owner upon receipt of itemized invoices and proof of payment. Payment shall not exceed reasonable labor rates and parts prices prevailing in the repair facility's local market for comparable work. Warrantor shall have the right to require parts returned to Warrantor for inspection.

6. Limitations of Liability; Remedy

THE WARRANTIES SET FORTH IN THIS AGREEMENT ARE THE SOLE AND EXCLUSIVE WARRANTIES PROVIDED BY WARRANTOR. WARRANTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE MAXIMUM EXTENT PERMITTED BY LAW. OWNER'S SOLE REMEDY FOR A BREACH OF THIS AGREEMENT SHALL BE REPAIR OR REPLACEMENT OF COVERED COMPONENTS OR, AT WARRANTOR'S ELECTION, A REFUND NOT TO EXCEED THE COVERAGE LIMIT. IN NO EVENT WILL WARRANTOR BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES.

7. Subrogation and Indemnification

Upon payment of any claim hereunder, Warrantor shall be subrogated to the extent of such payment to all rights of Owner against third parties with respect to the loss. Owner shall execute all documents and do such things as may be necessary to secure and enforce subrogation rights. Owner shall indemnify and hold Warrantor harmless from and against any claims arising from Owner's negligence or willful misconduct.

8. Transferability and Termination

This Agreement is transferable to a subsequent private purchaser upon payment of a transfer fee and notification to Warrantor within thirty (30) days of sale. Transfer fee: $

9. Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, overnight courier, or certified mail, return receipt requested, to the addresses below or to such other address as either party may designate by notice.

10. Amendments; Waiver; Severability

No amendment, modification or waiver of this Agreement shall be effective unless in writing and signed by both parties. Waiver of any breach shall not be deemed a waiver of any other breach. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Governing Law; Entire Agreement; Counterparts

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations and agreements. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
