VENDOR AGREEMENT DOCUMENT

This Vendor Agreement ("Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Client engages Vendor to provide goods and services as set forth in this Agreement, and Vendor represents that it has the experience, personnel, and resources required to perform such services in a professional manner; and

WHEREAS, the parties desire to establish the terms and conditions under which Vendor will supply the agreed goods and services to Client during the Term of this Agreement.

WHEREAS, the parties acknowledge and agree that this Agreement supersedes any prior oral or written representations, proposals, or agreements concerning the subject matter herein.

SCOPE OF WORK

Vendor shall perform the services and/or provide the goods described below. Deliverables, acceptance criteria, milestones, and any attachment exhibits shall constitute part of this Scope of Work.

PAYMENT TERMS

In consideration for the services and goods to be provided, Client shall pay Vendor as set forth below. Vendor shall submit invoices in accordance with this section and Client shall pay undisputed amounts within the agreed payment period.

Invoices shall be submitted to Client no more frequently than monthly unless otherwise agreed. Client will pay undisputed invoices within days of receipt. Disputed amounts must be identified in writing with specific reasons for dispute.

Late payments shall accrue interest at the lesser of % per month or the maximum rate permitted by law, plus any reasonable collection costs and attorneys' fees incurred by Vendor in collecting overdue amounts.

All fees are exclusive of taxes. Client shall be responsible for sales, use, VAT, or similar taxes arising from payments under this Agreement, except for taxes based on Vendor's net income.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured after thirty (30) days' written notice, or immediately for insolvency, bankruptcy, or cessation of business operations.

Upon termination, Client shall pay Vendor for all work performed and reasonable, documented, non-cancelable commitments incurred prior to termination. Vendor shall deliver to Client all completed and in-progress deliverables and invoices for any unpaid amounts.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive or have access to Confidential Information of the other party. "Confidential Information" means information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Each party shall: (a) protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not use Confidential Information except as necessary to perform its obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those contained herein.

Confidentiality obligations shall continue for years following termination or expiration of this Agreement, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

INDEPENDENT CONTRACTOR; INSURANCE; INDEMNITY

Vendor is an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, or joint venture between the parties. Vendor shall be solely responsible for withholding and remitting taxes and for compliance with all employment laws applicable to its personnel.

Vendor shall maintain insurance coverages reasonable and customary for the services to be provided, including commercial general liability and, where applicable, professional liability or errors and omissions coverage, and shall provide certificates upon request.

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of law, provided that the indemnified party gives prompt written notice of any claim and reasonable cooperation in the defense.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by the courts located within the governing state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attachments and exhibits referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or email (with confirmation), and shall be effective upon receipt.

MISCELLANEOUS PROVISIONS

Assignment. Neither party may assign its rights under this Agreement without the prior written consent of the other party, except that Client may assign to an affiliate or successor by merger or acquisition upon notice to Vendor.

Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and which together shall constitute one instrument.
