Recitals

WHEREAS, Client desires to engage Vendor to perform certain goods and services as set forth in this Agreement and the attached Scope of Work, and Vendor represents that it has the experience, personnel, and resources necessary to provide such goods and services in accordance with this Agreement; and

WHEREAS, the parties intend that Vendor perform the Services in a professional manner in accordance with the terms and conditions set forth herein and that Client compensate Vendor as set forth in the Payment Terms; and

WHEREAS, the parties desire to set forth their entire agreement concerning the subject matter hereof in writing to avoid misunderstandings and to provide for the orderly performance, management, and termination of the relationship.

Scope of Work

Payment Terms

Compensation to Vendor for Services rendered under this Agreement shall be as follows:

Late payments shall incur interest at the lesser of one percent (1%) per month or the maximum rate permitted by law, applied to amounts past due more than days after invoice date, plus reasonable collection costs.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated as set forth herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party agrees: (a) to hold Confidential Information in strict confidence; (b) not to disclose Confidential Information to any third party except as necessary for performance of this Agreement and subject to confidentiality obligations at least as protective as this clause; and (c) to use Confidential Information solely to perform obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, is lawfully received from a third party without restriction, or is independently developed without use of Confidential Information.

Representations and Warranties

Vendor represents and warrants that (a) it has the full right and authority to enter into this Agreement and perform the Services; (b) the Services will be performed in a professional and workmanlike manner consistent with industry standards; and (c) Vendor will comply with all applicable laws and regulations in performing the Services.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's negligent acts, willful misconduct, or breach of this Agreement. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR LIABILITIES ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law principles.

Entire Agreement; Amendments

This Agreement, including the Scope of Work and any attached exhibits or purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Additional Provisions

Independent contractor status: Vendor is an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, or joint venture. Vendor shall be solely responsible for the payment of all taxes and benefits applicable to Vendor and its personnel.
