Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Termination for material breach shall be effective upon written notice if the breaching party fails to cure the breach within a reasonable cure period of not less than days after receipt of notice.

Upon termination, Client shall pay Vendor for all services performed and approved deliverables to the effective date of termination and for reasonable wind-down costs pre-approved in writing.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written, electronic, or other form, including pricing, trade secrets, technical data, business plans, customer lists, and financial information. Confidential Information does not include information that: (a) is or becomes publicly known without breach of this Agreement; (b) is lawfully received from a third party not subject to confidentiality obligations; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided prompt notice is given and disclosure is limited to the required scope.

The receiving party shall (i) hold Confidential Information in confidence using at least the same degree of care as it uses to protect its own confidential information but no less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets.

Representations; Independent Contractor

Each party represents that it has full power and authority to enter into this Agreement. Vendor is an independent contractor and not an employee, partner, or agent of Client. Vendor is solely responsible for its employees, subcontractors, taxes, benefits, and compliance with applicable laws.

Limitation of Liability & Indemnification

Except for liability resulting from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, or punitive damages. Vendor shall indemnify and hold Client harmless from third-party claims arising from Vendor's negligence or willful misconduct in performing the services, subject to limits set forth in this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement; Amendment

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment or modification must be in writing and signed by duly authorized representatives of both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing, and shall be deemed given upon personal delivery, three (3) days after deposit in certified mail, return receipt requested, or upon confirmed electronic delivery.
