What the Vendor Agreement VA-4 Is and when it's used

The Vendor Agreement VA-4 is a standard contractual form used to document the relationship, responsibilities, and payment terms between a buying organization and an external vendor. It typically records vendor legal name, tax identification, scope of goods or services, pricing, payment schedule, insurance and indemnity clauses, confidentiality, governing law, and termination rights. Organizations use VA-4 to onboard suppliers, authorize purchases, and create a baseline for compliance and audits during the vendor lifecycle. Proper completion helps ensure accurate 1099 reporting and consistent procurement controls across departments.

Why a completed VA-4 matters for procurement and compliance

A correctly executed Vendor Agreement VA-4 creates clear contractual obligations, reduces payment disputes, and documents vendor data required for tax reporting and audits. It standardizes terms across departments and supports internal controls for procurement, insurance verification, and regulatory adherence.

Why a completed VA-4 matters for procurement and compliance

Who fills out and reviews a Vendor Agreement VA-4

Procurement teams, accounts payable, and vendor management groups typically initiate VA-4 completion when onboarding new suppliers.

  • Vendor representatives complete legal name, tax ID, banking, and contact information and return the signed agreement.
  • Procurement or purchasing reviewers confirm scope, pricing, and insurance attachments before countersignature.
  • Finance or AP verifies payment terms, W-9 receipt, and tax classification for 1099 tracking.

Legal or contract administrators may need to review indemnity, confidentiality, and governing-law clauses before final execution and storage.

Typical signatories and their roles

Company Signer

An authorized company signatory (procurement director, CFO, or delegated contracting officer) has authority to bind the buyer and must be listed by title; ensure delegation of signature is documented in internal policy and that the signer understands payment and acceptance obligations.

Vendor Contact

An authorized vendor representative (owner, CEO, or designated account manager) signs for the supplier; include the signer's printed name, job title, and corporate authority statement to ensure enforceability and to support audit trails.

Essential fields to include on the VA-4

Vendor Legal Name: Full registered name
Tax ID / TIN: EIN or SSN, exact format
Mailing Address: Street, city, state, ZIP
Primary Contact: Name, title, phone
Payment Terms: Net30, Net45, etc.
Insurance Details: Carrier and policy limits

Penalties and legal risks from incorrect VA-4 data

Incorrect TIN: Triggers 24% backup withholding
Missing W-9: Delays payments; 1099 errors
Unsigned agreement: May be unenforceable
Wrong payment terms: Leads to disputed invoices
Insurance gaps: Liability exposure for buyer
Noncompliant clauses: Regulatory enforcement risk

Common preparation errors to avoid

  • Submitting a VA-4 with a handwritten, illegible vendor name or mismatched TIN causes verification delays and may trigger backup withholding or vendor re-identification.
  • Using vague scope language such as "services as needed" without deliverables, milestones, or pricing details creates ambiguity and increases the likelihood of disputes.
  • Failing to attach required insurance certificates, W-9 forms, or proof of business registration can block approvals and delay onboarding for weeks.
  • Not updating the governing-state or payment-contact fields when vendor HQ changes leads to misdirected notices and possible contractual misinterpretation.

Where the completed VA-4 is sent and how it flows

Routing a completed VA-4 typically follows procurement, finance, and recordkeeping steps. Use consistent channels to ensure visibility and auditability.

  • Procurement Folder: Primary copy stored in procurement system
  • Accounts Payable: AP receives signed VA-4 to process invoices
  • Vendor Portal: Vendor copy uploaded to portal or SSO
  • Secure Archive: Final PDF stored with audit trail

Key clauses and sections to include in a professional VA-4

A professionally prepared Vendor Agreement VA-4 organizes responsibilities into clear sections so both parties understand expectations, limits, and remedies. Include measurable deliverables, payment schedules, insurance and indemnity, confidentiality, data protection, and termination procedures to reduce contract ambiguity.

Scope of Work

Describe goods or services precisely, include deliverables, acceptance criteria, and any milestone dates to avoid scope creep and to align invoicing with deliverable acceptance.

Payment Terms

State currency, due date (for example Net30), invoicing requirements and remittance details so AP can match invoices and payments without disputes or late fees.

Indemnity & Liability

Allocate responsibility for third-party claims and cap liability where appropriate to align with risk tolerance and insurance coverage limits.

Insurance Requirements

Specify required insurance types and minimum policy limits and request certificates of insurance demonstrating current coverage before work begins.

Confidentiality

Define confidential information, permitted uses, and duration of confidentiality obligations to protect trade secrets and sensitive data.

Termination & Remedies

Include termination rights for convenience and cause, notice periods, cure windows, and post-termination obligations for transition and return of materials.
