Vendor agrees to indemnify, defend and hold harmless Company and its officers, directors and employees from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Vendor’s performance under this Agreement, except to the extent such claims arise from Company's gross negligence or willful misconduct.

CONFIDENTIALITY & DATA PROTECTION

Vendor shall treat as Confidential Information all non-public information disclosed by Company in connection with this Agreement. Vendor will implement administrative, physical, and technical safeguards to protect personal data and other sensitive information in accordance with industry standards and applicable law.

TERM, TERMINATION & SUSPENSION

This Agreement commences on the Effective Date and continues until terminated in accordance with this section. Company may suspend or terminate Vendor's approval for convenience or for material breach upon written notice. Vendor shall be entitled to payment for undisputed, accepted work performed prior to termination.

AUDIT RIGHTS & RECORDS

Company or its authorized representatives shall have the right, during normal business hours and upon reasonable notice, to audit Vendor's records related to performance, pricing, compliance, and invoicing. Vendor shall retain records for a minimum of three (3) years following final payment.

AMENDMENT, ASSIGNMENT & ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the approved goods and services. Any amendment or modification must be in writing and signed by authorized representatives of both parties. Vendor may not assign or subcontract material duties without Company's prior written consent.

GOVERNING LAW & NOTICES
