Confidentiality obligations shall survive termination for a period of five (5) years or longer if required by applicable law or contract.

Governing Law

This Application and any resulting agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Application, together with any attachments or subsequent written agreements executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and communications, whether written or oral.
