Recitals

WHEREAS, Company Name: seeks to engage Vendor to perform specified services and to grant certain limited authorizations to Vendor; and

WHEREAS, Vendor Name: is willing and able to perform such services under the terms set forth in this Vendor Authorization Form.

Scope of Work

Vendor shall perform the services described below in a professional and workmanlike manner consistent with industry standards. Vendor will comply with Company's policies and reasonable directions when performing on-site or remote services.

Authorization Details

Vendor is authorized to act on behalf of Company only to the extent expressly provided in this form. Authorization is limited to the listed actions and locations. Any expansion of authorization requires a separate written amendment signed by both parties.




Payment Terms

Company agrees to compensate Vendor for authorized services as follows. Vendor shall submit invoices specifying dates, deliverables and applicable rates. Company will pay invoiced amounts in accordance with the schedule set forth below.

Term and Termination

This authorization becomes effective on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this authorization for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches this form and fails to cure within a commercially reasonable period not to exceed 15 days following written notice.

Confidentiality

Vendor acknowledges that it may receive confidential and proprietary information of Company. Vendor shall (a) hold such information in strict confidence, (b) use it only to perform the authorized services, and (c) restrict disclosure to employees and subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidential information shall not include information that is publicly known through no fault of Vendor or is rightfully received from a third party without breach of any confidentiality obligation.

Limitation of Authorization

Unless expressly stated, this authorization does not confer any authority on Vendor to bind Company to contracts, incur indebtedness, or make representations of legal effect on behalf of Company. Any delegation or subcontracting by Vendor must be approved in writing by Company.

Governing Law; Entire Agreement

This Vendor Authorization Form shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This form constitutes the entire agreement between the parties with respect to the authorization described herein and supersedes all prior or contemporaneous oral or written agreements on the same subject. Any amendment must be in writing and signed by authorized representatives of both parties.
