VENDOR CONTRACT ADDENDUM

This Vendor Contract Addendum (the "Addendum") is made as of Effective Date: by and between Client Name: with principal place of business at and Vendor Name: with principal place of business at .

RECITALS

WHEREAS, the parties entered into an agreement entitled Agreement Name: dated Original Agreement Date: (the "Original Agreement"); and

WHEREAS, the parties desire to amend certain terms of the Original Agreement as set forth herein in order to modify the scope, compensation, and other provisions described below.

WHEREAS, except as expressly amended by this Addendum, all other terms and conditions of the Original Agreement shall remain in full force and effect.

NOW, THEREFORE

In consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AMENDMENT TO AGREEMENT

1.1. The Original Agreement is hereby amended by replacing the language of Section(s): with the revised provisions set forth in this Addendum. Where any inconsistency exists between the provisions of this Addendum and the Original Agreement, the provisions of this Addendum shall control.

2. SCOPE OF MODIFICATIONS

2.1. The Vendor shall perform the additional or modified services described above in a professional and workmanlike manner consistent with industry standards. Vendor represents that it has the requisite expertise, personnel and resources to perform such services without delay.

3. COMPENSATION AND PAYMENT

3.1. Unless otherwise provided in this Addendum, payments for amended work shall be due in accordance with the Original Agreement and, where applicable, subject to submission of invoices in the form and at the times required by the Original Agreement.

4. TERM AND TERMINATION

4.1. The term of this Addendum shall commence on the Effective Date and shall continue for the period specified in the Original Agreement, unless earlier terminated in accordance with the Original Agreement or by mutual written agreement of the parties.

4.2. Any termination rights set forth in the Original Agreement shall apply equally to the obligations created or modified by this Addendum. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

5. INSURANCE; COMPLIANCE

5.1. Vendor shall maintain insurance coverage consistent with the Original Agreement and shall promptly provide certificates of insurance upon request. Vendor shall comply with all applicable laws, rules and regulations in performing the amended services.

6. INDEMNIFICATION; LIMITATION OF LIABILITY

6.1. Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Addendum or the negligent acts or willful misconduct of the indemnifying party in connection with the amended services.

6.2. Except as otherwise set forth in the Original Agreement or this Addendum, neither party shall be liable to the other for consequential, incidental or punitive damages to the extent such damages are limited under the Original Agreement.

7. CONFIDENTIALITY

7.1. All confidential information disclosed in connection with the Original Agreement or this Addendum shall continue to be subject to the confidentiality obligations set forth in the Original Agreement. Each party shall take all reasonable measures to protect the confidentiality of the other party's confidential information.

8. NOTICES

8.1. All notices required or permitted under this Addendum shall be given in writing to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section.

9. REPRESENTATIONS AND WARRANTIES

9.1. Each party represents and warrants that it has full power and authority to enter into this Addendum, that execution of this Addendum has been duly authorized by all necessary action, and that this Addendum constitutes a binding obligation enforceable against such party in accordance with its terms.

10. MISCELLANEOUS

10.1. Governing Law. This Addendum shall be governed by and construed in accordance with the laws of State: without regard to its conflict of law principles.

10.2. Entire Agreement. This Addendum and the Original Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements and understandings relating thereto, except as expressly provided in the Original Agreement.

10.3. Severability. If any provision of this Addendum is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.4. Amendments; Waiver. Any amendment to this Addendum must be in writing and signed by both parties. No waiver of any breach shall be deemed a waiver of any subsequent breach.

10.5. Counterparts. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10.6. Authority to Bind. Each person signing this Addendum on behalf of a party represents and warrants that he or she is authorized to execute and deliver this Addendum on behalf of such party.
