All changes to the Scope of Work must be made by written Change Order signed by both Vendor and Owner. Pricing and time adjustments for Change Orders shall be set forth in the Change Order and become part of this Statement upon signature.

Default, Indemnity and Governing Law

Default: A party shall be in default for failure to perform an obligation under this Statement if the defaulting party fails to cure the default within ten (10) days after receipt of written notice specifying the default, except that payment defaults shall be cured within five (5) days. Remedies: Non-defaulting party may pursue any remedies available at law or equity, including recovery of costs and attorneys' fees incurred to enforce this Statement.

Indemnity: Vendor shall indemnify, defend and hold Owner harmless from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Vendor's performance, except to the extent caused by Owner's gross negligence or willful misconduct.

Governing Law: This Statement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Venue for disputes shall be in the appropriate state or federal court located in that jurisdiction.

Entire Agreement and Certification

Entire Agreement: This Statement, together with any written Change Orders and attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and agreements, whether written or oral.
