Confidentiality

Vendor acknowledges that certain information disclosed by Organizer in connection with the event may be confidential. Vendor shall not disclose Organizer's confidential information to third parties and shall use such information solely for performance under this Pass. This obligation survives the termination of this Pass for a period of two (2) years.

Indemnity and Limitation of Liability

Vendor agrees to indemnify, defend and hold Organizer, its officers, employees and agents harmless from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Vendor's activities at the event, including but not limited to claims arising from Vendor's goods, services, negligence or breach of this Pass. Organizer's liability for any claim arising under this Pass shall be limited to direct damages and in no event shall Organizer be liable for special, incidental or consequential damages.

Pass Conditions

This pass is non-transferable, must be visible at all times while on site, and may be revoked by Organizer for violation of event rules, public safety concerns, or other reasonable cause. Vendor shall comply with all event rules and directions from Organizer staff, security, and emergency personnel.

Governing Law; Entire Agreement

This Vendor Event Pass shall be governed by and construed in accordance with the laws of State: without regard to its conflict of laws principles. This Pass constitutes the entire agreement between Organizer and Vendor with respect to the subject matter hereof and supersedes all prior agreements, understandings and representations, whether oral or written.
