WHEREAS, Company Name: (the "Company") engages vendors to supply goods and services in the ordinary course of business; and

WHEREAS, Vendor Name: (the "Vendor") warrants that it has the qualifications, personnel, and capacity to perform the services described below; and

Confidential Information means non-public information disclosed in connection with this Agreement. Confidential Information does not include information that is public through no fault of the receiving party, already lawfully known by the receiving party, or independently developed without use of the disclosing party's Confidential Information.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by the Company at the time of contracting. The parties agree that jurisdiction and venue for disputes shall lie in the competent courts of that jurisdiction unless the parties agree otherwise in writing.

This document, together with any purchase orders, statements of work, schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals or communications, whether written or oral.
